Attachment A <br />2022 COUNTY ROAD B WATERMAIN & XCEL GASCOOPERATIVE <br />CONSTRUCTION AGREEMENT <br /> <br />Dated as of ________________, 2022 <br />This Agreement is made on ___________, 2022, between the City of Roseville, a <br />Minnesota municipal corporation ("Roseville"), and the Northern States Power Company, a <br />Minnesota corporation d/b/a Xcel Energy("Xcel"). <br /> <br />1. PURPOSE <br />Roseville and Xcel (Singularly a “Party”, Collectively the "Parties") have determined that <br />it is in the best interests of the residents of the City to undertake in a cooperative fashion the <br />removals and restoration of County Road B associated with underground utility work for each <br />Party (the "Project"). The goal of the Parties is to provide for a coordinated cost-effective <br />completion of the Project. The purpose of this agreement is to set forth the terms governing the <br />design and construction of the Project. <br /> <br />2. PROJECT <br />2.1 The Projects shall consist of the facilities identified in Exhibit A hereto, subject to <br />modification as provided herein. The City shall manage and be responsible for their water <br />line project including existing pavement removal and Xcel shall manage and be responsible <br />for their gas main project including final bituminous placement. An engineering estimate <br />identified in Exhibit B, proposes quantities and pricing expected by both Parties prior to <br />construction. <br />2.2 The costs of the Project will be paid by the Parties as provided in Section 5.1 hereof. <br /> <br />3. DESIGN <br />3.1 Roseville will prepare, or have prepared, engineering drawings, specifications and <br />construction plans for their water Project. The construction plans will include a cost <br />estimate. The cost estimate shall be used to guide individual budgets. A true-up review <br />and assessment of quantities for unforeseeable circumstances associated with the <br />construction will be conducted by both parties monthly during construction and at <br />completion to agree to final breakdown of costs. Roseville will comply with any <br />requirements of Minnesota law with respect to approvals of such plans and specifications. <br />3.2 Final construction plans, engineering drawings, specifications and cost estimates will be <br />submitted to Xcel for approval prior to releasing the Project for construction. <br />4. CONSTRUCTION <br />4.1 If final construction plans,specifications and cost estimate are approved by each Party, <br />Roseville shall proceed with construction of the Project. Roseville will advertise for bids <br />in accordance with the requirements of the municipal contracting law. <br />4.2 Prior to awarding construction contracts Roseville will review the bids received with Xcel. <br />If the contracts exceed the cost estimates contained in the construction plans (including a <br />contingency budget) previously approved by the Parties by 20% or more the bids will be <br />approved individually by each Partyor the project may not proceed. <br /> <br />
