Attachment A <br />5.Catering Service Net Sales Payments. Vendor shall pay City a lump sum payment equal to <br />ten percent (10%) of all catering service net sales from February 1, 2022, through <br />September 1, 2022, due under Exhibit B of the Agreement. Such lump sum payment shall <br />be delivered no later than October 1,2022. Vendor shall include with such payment a <br />detailed itemization of all catering servicerevenuesfrom February 1, 2022, through <br />October 1, 2022. <br />Vendor shall pay City a lump sum payment equal to ten percent (10%) of all catering <br />service net sales due under Exhibit B of the Agreement from September 2, 2022through <br />December 16,2022.Such lump sum payment shall be delivered no later than January 7 <br />2023.Vendor shall include with such payment a detailed itemization of all catering service <br />revenues from September 2, 2022 through December 16, 2022. <br /> <br />6.Open Hours Service.Vendor shall continue to provide full staffing, including but not <br />through December 16, 2022. An itemization of all such open hour events is attached hereto <br />as Attachment 2. <br />7.Equipment Cleaning andCondition. Vendor shallclean all kitchen and bar equipment no <br />later than September 30th,2022.The Vendor warrants that all kitchen and bar equipment <br />shall be in good working condition.All kitchen and bar equipment will be inspected by <br />City for cleanliness and working condition.Vendor shall remove all property and <br />equipment owned by vendor from the Cedarholm Community Building no later than <br />September 30th,2022.Vendor and City will complete a walkthrough of the premises and <br />city will provide in writingsatisfactionwith the premisesto vendor. <br />8.Termination. The Agreement and this Addendum shall terminate as of December 16, 2022, <br />if Vendor satisfactorily complies with all terms, conditions, and obligations contained <br />withinthe same. At all times, the City reserves all termination rights contained in the <br />Agreement. <br />9.Default. In the event Vendor defaults on or fails to timely perform any provision of this <br />Addendum, the parties agree that City shall be entitled toany and allremedies available at <br />law and/or equity including, but not limited to, payment of all lease payments due under <br />Exhibit B of the Agreement. <br />10.Other terms.All other terms and conditions contained within the Agreementnot in conflict <br />with this Addendum shall remain in full force and effect. <br />11.Recitals.The recitals stated above shall be construed as part of the agreement of the parties <br />and are hereby incorporated in this Addendum as if set forth in their entirety. <br />12. Counterparts.ThisAddendummay be executed in several counterparts, which individually <br />shall be considered an original, but taken together shall be considered one and the same <br />document. <br />Ћ <br /> <br /> <br />
