<br />Section 2.4 Documents Delivered with Agreement. Prior to, or contemporaneously <br />with the execution of this Agreement, Grantee has delivered to Authority the following documents <br />and/or instruments, each of which will be in a form acceptable to Authority. <br /> <br />A. Evidence of the insurance coverages required by this Agreement in a form acceptable to <br />Authority, to be submitted on an annual basis on the anniversary date of this Agreement. <br /> <br />B. Certificate of an authorized member of Grantee with Resolution of Grantee authorizing the <br />execution and delivery of this Agreement and any other documents described in this <br />Agreement. <br /> <br />C. The Certification Regarding Debarment, Suspension, Ineligibility, and Voluntary <br />Exclusion Lower Tier Covered Transactions as set forth in Exhibit C. <br /> <br /> Section 2.5 Disbursement of Funds. The Authority will disburse HOMR-ARP funds in <br />response to written reimbursement requests ("Reimbursement Requests") submitted to the <br />Authority by the Grantee upon forms provided by the Authority. Subject to verification of the <br />facts contained in each Reimbursement Request and a determination of compliance with the terms <br />of this Agreement, the Authority will disburse the requested amount to the Grantee within thirty- <br />five (35) days after receipt of each Reimbursement Request. The Authority will have no obligation <br />to disburse any of these funds if, at the time of disbursement, Grantee is in default under any of <br />the terms of this Agreement. <br /> <br /> Section 2.6 Unused Funds. Upon the earlier of (a) Project Completion; (b) the End Date; <br />or (c) the termination of this Agreement, any HOME-ARP funds not previously disbursed for any <br />reason, shall not be bound by the terms of this Agreement and may be retained by the Authority, <br />at t <br /> <br />ARTICLE 3 <br />GRANTEE REPRESENTATIONS AND WARRANTIES <br /> <br />Section 3.1 Grantee represents and warrants to the Lender that: <br /> <br />A. It is a Minnesota municipal corporation duly organized in good standing under applicable <br />laws of the State of Minnesota and that it has legal authority to execute, deliver, and <br />perform its obligations under this Agreement. <br /> <br />B. The execution and delivery of and the performance by the Grantee of its obligations under <br />this Agreement, do not and will not violate or conflict with any provision of law and do <br />not and will not violate or conflict with, or cause any default or event of default to occur <br />under, any agreement binding upon the Grantee. <br /> <br />C. The Grantee warrants that it has fully complied with all applicable state and federal laws <br />pertaining to the work that is the subject of this Agreement and will continue to comply <br />throughout the terms of this Agreement.
