If the Contractor claims that <br />delay or additional cost is involved jecause of such <br />action by the Owner, he shall make such claim as pro- <br />vided elsewhere in the Contract Documents. <br />6.1.2 When separate contracts are awarded for different <br />portions of the Project or other work on the site, the term <br />Contractor in the Contract Documents in each case shall <br />mean the Contractor who executes each separate Owner - <br />Contractor Agreement. <br />6.1.3 The Owner will provide for the coordination of the <br />work of his own forces and of each separate contractor <br />with the Work of the Contractor, who shall cooperate <br />therewith as provided in Paragraph 6.2. <br />6.2 MUTUAL RESPONSIBILITY <br />6.2.1 The Contractor shall afford the Owner and separate <br />contractors reasonable opportunity for the introduction <br />and storage of their materials and equipment and the <br />execution of their work, and shall connect and coordinate <br />his Work with theirs as required by the Contract Docu- <br />ments. <br />6.2.2 If any part of the Contractor's Work depends for <br />proper execution or results upon the work of the Owner <br />or any separate contractor, the Contractor shall, pr4o7.- to <br />proceeding with the Work, promptly report to the Archi- <br />tect any apparent discrepancies or defects in such other <br />work that render it unsuitable for such proper execution <br />and results. Failure of the Contractor -o to report shall <br />constitute an acceptance of the Owner , or separate con- <br />tractors* work as fit and proper to receive his Work, ex- <br />cept as to detects which may subsequently become appar• <br />rent In such work by others, <br />6.2.3 Any costs caused by deiective or ill-timed work <br />shall be borne by the party responsible therefor. <br />6.2.4 Should the Contractor wrongfully cause damage to <br />the work or property of the Owner. or to other work on <br />the site. the Contractor shall promptly remedy such dam• <br />age as provided in Subparagraph 10 2.5, <br />6.2.5 Should the Contractor %vrongiully cause damage to <br />the wofk or property oi any separate contractor, the Con• <br />tractor shall upon due notice promptly attempt to settle <br />with such other contractor by agreement, or otherwise to <br />resolve the dispute, If such separate contractor sues or <br />,nitrates an arbitration proceeding against the Owner on <br />account of any, damage alleged to have been caused by <br />the Contractor, the Owner shall notify the Contractor <br />shall delend iuch pioceeding5 -it the Ownet'} e�- <br />nense, and if any judgment or award against the Owner <br />arises therefrom the Contractor shall pay or satisfy it and <br />shall reimburse the Owner for all attorneys' fees and <br />court or arbitration costs which the 0• net has incurred. <br />6,3 OWNER'S RIGHT TO CLEAN UP <br />6.3.1 If a dispute arises between the Contractor and sepa- <br />rate contractors a5 to their responsibility for cleaning up <br />as required by Paragraph 4.15, the Owner may clean up <br />and charge the cost thereof to the contractors responsible <br />therefor as the Architect shall determine to be just. <br />ARTICLE 7 <br />MISCELLANEOUS PROVISIONS <br />7.1 GOVERNING LAW <br />7.1.1 The 'Contract shall be governed by the law of the <br />place where the Project is located. <br />7.2 SUCCESSORS AND ASSIGNS <br />7.2.1 The Owner and the Contractor each binds himself, <br />his partners, successors, assigns and legal representatives <br />to the other party hereto and to the partners, successors, <br />assigns and legal representatives of such other party with re- <br />spect to all covenants, agreements and obligations con- <br />tained in the Contract Documents. Neither party to the <br />Contract shall assign the Contract or sublet it as a whole <br />without the written consent of the other, nor shall the <br />Contractor assign any moneys due or to become due to <br />him hereunder. without the previous written consent of <br />the Owner. <br />7.3 WRITTEN NOTICE <br />7.3.1 Written notice shall be deemed to have been duly <br />served If delivered In person to the individual or member <br />of the firm or entity or to an officer of the corporation for <br />whom It was intended, or it delivered at or sent by regis- <br />tered or certified mail to the last business address known <br />to him who gives the notice. <br />7.4 CIAIMS FOR DAMAGES <br />7,4.1 Should either party it) the Contract suffer injury or <br />damage to person or property because of any act or omis- <br />sion of the other party or of any of his employees, agents <br />or others for whose acts he is legallyl liable, clairn shall be <br />made in writing to such other party within a reasonable <br />time after the first observance oaf such injury or damage. <br />7,3 PERFORMANCE BOND AND LABOR AND <br />MATERIAL PAYMENT BOND <br />7.5.1 The Owner shall have the right to require the Con- <br />tractor to furnish bonds covering the iailhiul performance <br />of Contract and the payment of all obligations arising <br />thereunder if and as required In the Bidding Documents <br />or in the Contract Document#. <br />7,6 RIGHTS AND REMEDIES <br />7.6.1 The duties and obligations imposed by the Contract <br />Cocuments and the rights and remedies available there- <br />uneter shall be ?n addition to and not a limitation of any <br />duties. obligations, rights and remedies otherwise im- <br />posed or available by law, <br />7.6.2 1114o action or failure to act by the Owner, Architect <br />or Contractor shall constitute a waiver of any right or duly <br />anorded any of them under the Contract, nor shall any <br />such action or failure to act constitute an approval of or <br />acquiescence in any breach thereunder, except as may be <br />specifically agreed in writing, <br />AIA DOCUMENT A201 • GENERAL CON0I7IONS OF THE CONTRACT FOR CONSTRUCTION .
