XNNNN AK BANKS Eighth Street and Marquette Avenue NNITRN Minneapolis, Minnesota 55479 6121372-8123 September 25, 1986 Commers-Klodt 50 Groveland Terrace Minneapolis, MN 55403-3696 Attention: Paul Klodt Re: $2,900,000 Construction Loan from Norwest Bank Minneapolis, National Association (the "Bank") to Commers-Klodt (the "Borrower") (Roseville Business Commons II) Gentlemen: The Bank and the Borrower have conducted a closing today of the above -referenced transaction. In connection therewith, this letter will evidence the understanding of the Bank with respect to the matters set forth below. The Bank acknowledges that the Combination Mortgage, Security Agreement and Fixture Financing Statement of even date herewith (the "Mortgage") to be recorded by Title Insurance Company of Minnesota ("Title") covers certain property in excess of the property the Bank and the Borrower originally intended the Mortgage to cover. Accordingly, the Bank and the Borrower have agreed as follows: (i) The Bank shall release the lien of the Mortgage from the property legally described as "Parcel B" in Exhibit A attached hereto ("Parcel B") upon the satisfaction of the follow- ing conditions: (1) the completion of any replatting, subdivision or other action necessary to subdivide the Mortgaged Property, as defined in the Mortgage, so that the portion Property which shall remain subject totheMorrtgage will gnot dbe in violation of any applicable platting, subdivision or develop- ment laws, rules, regulations or ordinances; and (2) the Bank shall receive an endorsement from Title, in form and substance satisfactory to the Bank, to the effect that the Mortgaged Property so subdivided shall be in compliance with all applicable platting, subdivision and development laws, rules, regulations and ordinances;
