4.indemnity: Hold Harmless. The City hereby agrees to <br />indemnify and hold harmless the Partnership and its successors and <br />assigns from all costs, expenses and liabilities, including <br />reasonable attorneys' fees, incurred by the Partnership as a result <br />of the use, operation or maintenance of the sewer and/or road <br />within the easements granted to the city under this Agreement; <br />provided, however, that this indemnity <br />shall not extend to any <br />acts, events or occurrences caused by the negligence of the <br />Partnership or its successors or as <br />signs. <br />5. _Governina Law.
