EXHIBIT B <br />INSURANCE <br /> <br />Required Coverage. Flock shall procure and maintain for the duration of this Agreement insurance <br />against claims for injuries to persons or damages to property that may arise from or in connection with the <br />performance of the services under this Agreement and the results of that work by Flock or its agents, <br />representatives, employees or subcontractors. Insurance shall be placed with insurers with a current A. M. <br />Best rating of no less than “A” and “VII”. Flock shall obtain and, during the term of this Agreement, shall <br />maintain policies of professional liability (errors and omissions), automobile liability, and general liability <br />insurance for insurable amounts of not less than the limits listed herein. The insurance policies shall <br />provide that the policies shall remain in full force during the life of the Agreement. Flock shall procure and <br />shall maintain during the life of this Agreement Worker's Compensation insurance as required by <br />applicable State law for all Flock employees. <br />Types and Amounts Required. Flock shall maintain, at minimum, the following insurance coverage for <br />the duration of this Agreement: <br />(i) Commercial General Liability insurance written on an occurrence basis with minimum limits of One <br />Million Dollars ($1,000,000) per occurrence and Two Million Dollars ($2,000,000) in the aggregate for <br />bodily injury, death, and property damage, including personal injury, contractual liability, independent <br />contractors, broad-form property damage, and product and completed operations coverage; <br />(ii) Umbrella or Excess Liability insurance written on an occurrence basis with minimum limits of Ten <br />Million Dollars ($10,000,000) per occurrence and Ten Million Dollars ($10,000,000) in the aggregate; <br />(iii) Professional Liability/Errors and Omissions insurance with minimum limits of Five Million Dollars <br />($5,000,000) per occurrence and Five Million Dollars ($5,000,000) in the aggregate; <br />(iv) Commercial Automobile Liability insurance with a minimum combined single limit of One Million <br />Dollars ($1,000,000) per occurrence for bodily injury, death, and property coverage, including owned and <br />non-owned and hired automobile coverage; and <br />(v) Cyber Liability insurance written on an occurrence basis with minimum limits of Five Million Dollars <br />($5,000,000). <br /> <br /> <br /> <br />Qbhf!324!pg!367 <br /> <br />
