A. Dedicated space. Prior to the Services Start Date, Rosedale will create space and obtain equipment for an on-site, permanent police substation at the Mall Premises for the use of the Assigned Officersin the performance of Services. The Parties will work cooperatively to design and configure the substation space. At a minimum, Rosedale will provide a secure space, and general office furniture including desks, chairs, and trash cans. After completion, the substation space will not be moved or altered by Rosedale without prior consultation and agreement with the City. B. On-Site Substation Technology and Equipment. Rosedale will equip the on-site substation with all reasonable and necessary technological capabilities and other related equipment, which must include high-speed, secure internet access. The City will provide computers and security-related equipment (such as safes). The Parties will work cooperatively to determine and identify any otherreasonable and necessary technological needs of the on-sitesubstation. 3. Compensation for Elevated Law Enforcement Presence. Rosedale agrees to provide to the City the following compensation, space, and equipment for the Services: A. On-Site Police Officers. Rosedale will reimburse the City for all costs to the City for the Assigned Officers (the “Labor Costs”). Labor Costs include the wages to compensate the Assigned Officers for the time spent providing the Services and also the cost to the City of benefits, , training, and related expenses for two full-time officers, as itemized in Exhibit A attached hereto. B. On-Site Substation. Rosedale will provide the substation space including design, construction, furniture, equipment, and any subsequent alterations and replacements, at its own expense and without charge to the City. C. Substation Signage. The City will pay the costs of any signs, branding, and other markers on the substation and within Mall Premises consistent with Rosedale’s schedule of costs for all other tenants at its Mall Premises. D. On-Site Substation Technology. Rosedale will provide dedicated internet access, and hard-wired phone, and any other reasonable and necessary on-site substation technology agreed upon by the partiesas itemized Exhibit A attached hereto. E. On-Site Police Squad Car. Rosedale will reimburse the City for all costs to procure, equip, and operate the on-site squad car (the “Vehicle Costs”) as itemized in Exhibit A attached hereto, 4. Rosedale’s Right to Request Law Enforcement Activity. Nothing in this Agreement will be construed to interfere with the rights of Rosedaleor its employees as citizens to request that the City, in its capacity as a public law enforcement agency, or that Officers, in their capacity as licensed law enforcement officers, respond to requests for law enforcement assistance. The Cityandthe Police Departmentshall retain sole and exclusive discretion to respond to such requests for law enforcement assistance in such manner and to such extent, as the law and their training may require. 3 RS160\\1\\949071.v2 Qbhf!325!pg!494
