10.Notices. All notices and other communications pursuant to this Agreement must be in writing and must be given by registered or certified mail, postage prepaid, or delivered by hand at the addresses set forth below: To Roseville: City of Roseville 2660 Civic Center Drive Roseville, MN 55113 To Maplewood:City of Maplewood 1830 County Road B East. If any court finds any portion of this Agreement to be contrary to law, invalid, or unenforceable, the remainder of the Agreement will remain in full force and effect and each remaining term or provision of this Agreement shall be valid and enforceable to the fullest extent permitted. 12.Counterparts. The Parties may sign this Agreement in counterparts, each of which constitutes an original, but all of which together constitute one instrument. 13.Electronic Signatures. The P arties agree that the electronic signature of a P arty to this Agreement shall be as valid as an original signature of such P arty and shall be effective to bind such P arty to this Agreement. The P arties further agree that any document (including this Agreement and any attachments or exhibits to this Agreement) containing, or to which there is affixed, an electronic signature shall be deemed (i) to be “written” or “in writing,” (ii) to have been signed and (iii) to constitute a record established and maintained in the ordinary course of business and an original written record when printed from electronic files. For purposes hereof, “electronic signature” also means a manually signed original signature that is then transmitted by any electronic means, including without limitation a faxed version of an original signature or an electronically scanned and transmitted version (e.g., via PDF) of an original signature. Any P ’s failure to produce the original signature of any electronically transmitted signature shall not affect the enforceability of this Agreement. 14.Effective Date. This Agreement is effective on the date last executed by one of the Parties below. IN WITNESS WHEREOF, the City of Roseville, as to role of Contract Manager, and Collaborative Agency Partners have caused this Cooperative Funding Agreement to be executed by their duly authorized representatives.
