Attachment 1 <br />ETHERNETNETWORKTRANSPORTSERVICESAGREEMENTBETWEEN <br />ROSEVILLEINDEPENDENTSCHOOLDISTRICT623ANDCITYOFROSEVILLE,MINNESOTA <br />THISServiceAgreementAmendment("Agreement")subjecttothelawsofStateofMinnesota,is <br />betweentheRosevilleIndependentSchoolDistrict623,(hereinafter"DISTRICT")1251County <br />RoadB2WRoseville,MN55113andCityofRoseville,alocalunitofgovernmentintheStateof <br />Minnesota,2660CivicCenterDrive,Roseville,MN55113(hereinafter"PROVIDER"). <br />SERVICESPROVIDED.ThePROVIDERagreestoprovidefiberbasedIP/Ethernettransport <br />servicestothesitesasidentifiedinAttachmentAtothisAgreement. <br />TERMANDRENEWALOFAGREEMENT.Thetermofserviceisforaperiodoffiveyearsfrom <br />thedateofserviceacceptance.ThePROVIDERagreestocompleteallworkandprovideserviceto <br />theDISTRICTnoearlierthanJuly1,20.TheDISTRICTmaychoosetorenewthisAgreementatthe <br />endofthetermforuptoanadditional5years.ThePROVIDERagreestoextendtheAgreement <br />shouldtheDistrictchoosetodoso.Theextensiontermshallbemutuallyagreedbetweenthe <br />DISTRICTandthePROVIDERbuttheextensionrateshallnotexceedthecostformaintainingthe <br />service. <br />PAYMENT.InconsiderationforallservicesperformedbythePROVIDERtheDISTRICTshall <br />paythePROVIDERaonetimechargeof$0andmonthlypaymentof$6,432forthetermofthe <br />Agreement.TheDistrictshallpayforservicesastheyareimplementedandoperational. <br />ERATECERTIFICATION.ThePROVIDERshallcertifyannuallythatitisregisteredwiththe <br />UniversalServiceAdministrationCompaniesSchoolsandLibrariesDivisionwithavalidService <br />ProviderIdentificationNumber.FailuretodosowouldbecausefortheDISTRICTtoterminatethis <br />Agreementwithoutanyterminationliabilities. <br />SERVICEMAINTENANCEandCREDITS.ThePROVIDERshallmaintaintheserviceat99.9 <br />percentavailabilitycalculatedoverathirtydaywindow.ThePROVIDERshallrespondtotrouble <br />reportfromtheDISTRICTtwentyfourhoursaday,sevendaysaweek.Intheeventservice <br />restorationrequiresanonsitevisit,thePROVIDERshallbeonsitewithinfourhoursofreportinga <br />troubleandwillmakeallcommerciallyreasonableeffortstoresolvetheproblem.ThePROVIDER <br />shallprovideaserviceoutagecredittotheDISTRICTforonedayofserviceforeacheighthoursof <br />continuousoutage.TheservicecreditshallbeprovidedonthesubsequentinvoicetotheDISTRICT. <br />ASSIGNMENT.ThePROVIDERshallneitherassignnortransferanyrightsorobligations <br />underthisAgreementwithoutthepriorwrittenconsentoftheDISTRICTwhichshallnotbe <br />unreasonablywithheld. <br />AMENDMENTS.AnyamendmentstothisAgreementshallbeinwriting,andshallbe <br />executedbythesamepartieswhoexecutedtheoriginalAgreement,ortheirsuccessorsinoffice. <br />1 <br />Qbhf!34:!pg!354 <br /> <br />
