FIRST AMENDMENT TO MANAGEMENT SERVICE AGREEMENT (Limited Services) This First Amendment (the “Amendment”) to the Management Service Agreement dated August 1, 2023 (the “Agreement”) is entered into as of the date of the last signature below (the “Amendment Effective Date”) by and between the City of Roseville(“Owner”) and McGough Property Management, LLC d/b/a McGough Facility Management, a Minnesota limited liability company (“Manager”). RECITALS WHEREAS, Owner and Manager entered into the Agreement for facility management services for certain premises described in Schedule D of the Agreement; WHEREAS, the current term of the Agreement is set to expire on July 31, 2026, unless earlier terminated in accordance with its terms; WHEREAS, the parties desire to amend the Agreement to extend the termination date through December 31, 2026, on the same terms and conditions as set forth in the Agreement; NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows: 1.Amendment to Term Section 1 of the Agreement (Term) is hereby amended by replacing the existing termination date with the following: “This Agreement is effective as of the Effective Date and shall terminate on December 31, 2026, unless earlier terminated in accordance with this Agreement. Thereafter, the Agreement shall automatically renew for subsequent one-year periods unless otherwise terminated as provided herein.” 2.No Other Changes Except as specifically amended herein, all other terms and provisions of the Agreement shall remain in full force and effect. In the event of any conflict between this Amendment and the Agreement, the terms of this Amendment shall govern. 3.Counterparts This Amendment may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
