FIRST AMENDMENT TO MANAGEMENT SERVICE AGREEMENT <br /> (Limited Services) <br />This First Amendment (the “Amendment”) to the Management Service Agreement dated August <br />1, 2023 (the “Agreement”) is entered into as of the date of the last signature below (the <br />“Amendment Effective Date”) by and between the City of Roseville(“Owner”) and McGough <br />Property Management, LLC d/b/a McGough Facility Management, a Minnesota limited <br />liability company (“Manager”). <br />RECITALS <br />WHEREAS, Owner and Manager entered into the Agreement for facility management services <br />for certain premises described in Schedule D of the Agreement; <br />WHEREAS, the current term of the Agreement is set to expire on July 31, 2026, unless earlier <br />terminated in accordance with its terms; <br />WHEREAS, the parties desire to amend the Agreement to extend the termination date through <br />December 31, 2026, on the same terms and conditions as set forth in the Agreement; <br />NOW, THEREFORE, in consideration of the mutual covenants and agreements contained <br />herein, the parties agree as follows: <br />1.Amendment to Term <br />Section 1 of the Agreement (Term) is hereby amended by replacing the existing <br />termination date with the following: <br />“This Agreement is effective as of the Effective Date and shall terminate on <br />December 31, 2026, unless earlier terminated in accordance with this Agreement. <br />Thereafter, the Agreement shall automatically renew for subsequent one-year <br />periods unless otherwise terminated as provided herein.” <br />2.No Other Changes <br />Except as specifically amended herein, all other terms and provisions of the Agreement <br />shall remain in full force and effect. In the event of any conflict between this Amendment <br />and the Agreement, the terms of this Amendment shall govern. <br />3.Counterparts <br />This Amendment may be executed in counterparts, each of which shall be deemed an <br />original, and all of which together shall constitute one and the same instrument. <br />Electronic signatures shall be deemed binding and enforceable. <br />1 <br />Qbhf!24:!pg!286 <br /> <br />
