Attachment 2 <br />1 CITY OF ROSEVILLE <br />2 Ordinance No. ________ <br />3 <br />4 COMCAST CABLE TELEVISION FRANCHISE EXTENSION <br />5 ORDINANCE AND AGREEMENT <br />6 THIS ORDINANCE AND AGREEMENT, effective upon passage and acceptance, <br />7 between the City of Roseville, Minnesota (the “City”), and Comcast of Minnesota, Inc., a <br />8 Minnesota corporation (“Comcast”). <br />9 WHEREAS, the City granted Comcast a non-exclusive franchise for a ten-year term to <br />10 construct, operate and maintain a cable television system through a cable television franchise <br />11 ordinance, Ordinance Number 1533, accepted and agreed upon by Comcast (the “Franchise’); <br />12 WHEREAS, Comcast agreed to additional commitments in a letter to the City dated, <br />13 August 1, 2017 (the “Agreement”). <br />14 WHEREAS, the City, is a member of the North Suburban Communications Commission <br />15 (the “Commission”) that manages and negotiates the Franchise; <br />16 WHEREAS, Comcast has requested renewal of the Franchise; <br />17 WHEREAS, Comcast and the Commission have agreed to extend the term of the <br />18 Franchiseand Agreement for an additional five years, subject to approval of the City and written <br />19 acceptance of Comcast; <br />20 NOW, THEREFORE, THE CITY OF ROSEVILLE ORDAINS AS FOLLOWS: <br />21 Section 1. Section 2, paragraph 4 of the Franchise is hereby amended by extending the term of <br />22 such Franchise through and including June 30, 2032. The Parties do not waive any rights under <br />23 Section 626 of the Federal Cable Act and agree that Grantee shall not be required to file an <br />24 additional Section 626 Letter to preserve its rights to formal proceedings under the Franchise. <br />25 Section 2. Except as specifically modified hereby, the Franchise shall remain in full force and <br />26 effect. <br />27 Section 3. Neither party waives any rights under law as a result of agreeing to this Franchise <br />28 extension. <br />29 Section 4. The Agreement shall remain effective so long as Comcast, including any successors or <br />30 assigns, continues to operate under the Franchise, including as it may be extended pending the <br />31 completion of the renewal process. Neither the Commission nor Comcast may terminate the <br />32 Agreement prior to renewal. <br />33 <br />Qbhf!2::!pg!322 <br /> <br />
