Architectural & Engineering Services <br /> <br />4.3 RFP Addenda <br /> <br />A.Any addendum issued will become a part of the RFP. The City may modify or clarify the RFP by issuing one <br />or more addenda to all parties who have received the RFP. <br />B.Each responder must follow the directions on the addendum. Addenda will be numbered consecutively in <br />the order they are issued. <br />C. In such an event of an addendum, all responding Respondents will be afforded the opportunity to revise <br />their Proposals to accommodate the RFP addendum. <br />D. Any addenda to this RFP will be e-mailed by the single point of contact. Respondents will be responsible for <br />meeting the requirements of all addenda and will acknowledge receipt of all addenda by completion and <br />attachment of Attachment B of the RFP to their Proposal. <br />E. Only additional information provided by formal written addenda shall be incorporated into the RFP for <br />clarification or response. Oral and other interpretations or clarifications will be without legal effect and <br />cannot be relied upon by Responders. <br />4.4. Data Practices <br /> <br />A. All materials will become public record in accordance with Minnesota Statutes, Section 13.591, after the <br />evaluation process is completed. Pursuant to the statute, completion of the evaluation process occurs when <br />the government entity has completed negotiating and enters into the contract with the selected Responder. <br />B.Pursuant to the statute, completion of the evaluation process occurs when the government entity has <br />completed negotiating and enters into the contract with the selected Responder. <br />C. Responders must not submit as part of their response trade secret material, as defined by Minn. Stat. § <br />13.37. <br />D. In the event trade secret data are submitted, Responder must defend any action seeking release of data it <br />believes to be trade secret, and indemnify and hold harmless the City, its agents and employees, from any <br />judgments awarded against the City in favor of the party requesting the data, and any and all costs <br />connected with that defense. <br />E. The City does not consider cost or prices to be trade secret material, as defined by Minn. Stat. § 13.37. <br />F. A Responder may present and discuss trade secret information during an interview or demonstration with <br />the City, if applicable. <br />4.4 Important Information <br /> <br />Responders should note the following: <br />A. Submission of an electronic copy of the proposal without the three (3) hard copies will not satisfy the <br />submission requirement. <br />B. Failure to submit a proposal on time shall constitute grounds for the rejection of the proposal. Proposals <br />received after this specified time and date will not be considered and will not be returned. <br />C. Upon submission, all proposals become the property of the City of Roseville, which retains the right to <br />use any concept or idea presented in any proposal submitted, whether or not that proposal is accepted. <br />D. The City of Roseville expressly reserves the right to amend or withdraw this RFP at any time and to reject <br />any or all proposals. <br />E. The City of Roseville reserves the right to reject any and all proposals if such action is in the public interest. <br />F. The City reserves the right to repost for new proposals. <br />G.The City of Roseville is not bound to accept the lowest cost proposal. <br />H.
