The Respondent agrees that if an organizational conflict of interest is discovered after <br />award, an immediate and full disclosure in writing shall be made to Owner, which shall <br />include a description of the action the Respondent has taken or proposes to take to <br />avoid or mitigate such conflicts. If an organizational conflict of interest is determined to <br />exist, Owner may, at its discretion, cancel the contract. In the event the Respondent was <br />aware of an actual or perceived organizational conflict of interest prior to the award of <br />the contract and did not disclose the conflict to the Contracts Administrator. The <br />provisions of this clause shall be included in all subcontracts for work to be performed, <br />and the terms ÐContractÑ and ÑContracts AdministratorÑ modified appropriately to <br />preserve OwnerÓs rights. Owner may, in its sole discretion, waive any conflict of interest. <br />Addenda to RFQ <br />Any Addendum issued will become part of the RFQ. Owner may modify or clarify the <br />RFQ by publishing one or more addenda. Addenda will be numbered consecutively in <br />the order they are issued. Respondents will be responsible for meeting the requirements <br />of all addenda and will be required to acknowledge in their response their review of all <br />addenda. <br />Acceptance of Qualifications Submittal Content <br />The contents of this RFQ and the Responses of the successful Respondent will become <br />contractual obligations, along with the final contract. Owner is solely responsible for <br />making the decision in matters of interpretation of all terms and conditions. <br />H.
