Any party may change its respective address <br />45 for the purpose of this Ordinance by written notice to the other parties. <br />46 <br />47 Public Ground. Land owned or otherwise controlled by the City for park, open space or <br />48 similar public purpose, which is held for use in common by the public and not a Public <br />49 Way. <br />50 <br />51 Public Way. Any public right-of-way within the City as defined by Minnesota Statutes, <br />52 Section 237.162, subd. 3. <br />53 <br />54 Section 2. ADOPTION OF FRANCHISE. <br />55 <br />56 2.1. Grant of Franchise. The City hereby grants the Company, for a period of twenty <br />57 (20) years from the date this Ordinance is passed and approved by the City, the right to <br />58 transmit and furnish electric energy for light, heat, and power for public and private use <br />59 within and through the limits of the City as its boundaries now exist or as they may be <br />60 extended in the future. For these purposes, the Company may construct, operate, repair, <br />61 and maintain electric facilities in, over, under and across the Public Grounds and Public <br />62 Ways of the City, subject to the provisions of this Ordinance. The Company may do all <br />63 reasonable things necessary or customary to accomplish these purposes, subject, however, <br />64 to such reasonable regulations as may be imposed by the City pursuant to ordinance and to <br />65 the further provisions of this franchise agreement. <br />66 <br />67 2.2. Effective Date:; Written Acceptance. This franchise shall be in force and effect <br />68 from and after the passage of this Ordinance and publication as required by law and its <br />69 acceptance by the Company. If the Company does not file a written acceptance with the <br />70 City within sixty (60) days after the date the City Council adopts this Ordinance, the City <br />71 Council by resolution may revoke this franchise, seek its enforcement in a court of <br />72 competent jurisdiction or pursue other remedies in law or in equity. <br />73 <br />74 2.3. Service, Rates and Area. The service to be provided and the rates to be charged by <br />75 the Company for electric service in City are subject to the jurisdiction of the Commission. <br />76 The area within the City in which the Company may provide electric service is subject to <br />77 the provisions of Minnesota Statutes, Sections 216B. 37 - 40. <br />78 <br />79 2.4. Publication Expense. The City shall pay the expense of publication of this <br />80 Ordinance and shall be reimbursed by Company. <br />81 <br />82 2.5. Dispute Resolution. If either party asserts that the other party is in default in the <br />83 performance of any obligation hereunder, the complaining party shall notify the other party <br />84 of the default and the desired remedy. The notification shall be written. Representatives of <br />85 the parties must promptly meet and attempt in good faith to negotiate a resolution of the <br />86 dispute.
