Heights for sanitary sewer service charges for the Park Property using the SPRWS water <br />usage data in accordance with the most recent City of Roseville Penalty and Fee Schedule. <br /> <br />4. Qualityof Service and Compliance. Sanitary sewer service provided by Roseville to <br />Falcon Heights pursuant to this Agreement shall be of the same quality and provided in <br />accordance with the same standards, as is available to customers of Roseville’s sanitary <br />sewer system. Falcon Heights agrees that it shall comply with Roseville’s sanitary sewer <br />regulations which are contained in Chapter 802 of the City Code, including, but not limited <br />to, Section 802.08 (Prohibited Discharges), Section 802.15 (Discharge of Fats, Oils and <br />Grease), and Section 802.17 (Obstructions). <br /> <br />5. Term and Termination. This Agreement shall be in effect as of the date first written above. <br />Once Falcon Heights installs its own sanitary sewer service main to the property line of the <br />Park Property, it must connect within 180 days of its main becoming available or this <br />Agreement shall terminate. This Agreement shall terminate in the event that the sanitary <br />sewer service to the Park Property is abandoned as defined by Roseville’s standards. <br /> <br />6. Environmental Matters. Roseville shall not be responsible for any costs, expenses, <br />damages, demands, obligations, including penalties and reasonable attorneys’ fees, or <br />losses resulting from any claims, actions, suits, or proceedings based upon a release or <br />threat of release of any hazardous substances, pollutants, or contaminants which may have <br />existed on, or which relate to, the Park Property prior to the date of this Agreement. <br /> <br />7. Indemnification. Falcon Heightsassumes all risk and responsibility for claims or damages <br />made by Falcon Heights customers arising out of, or related to, provision of sanitary sewer <br />service by Roseville to Falcon Heights in accordance with the terms and standards of this <br />Agreement. Each of the parties agrees to indemnify the other, its officials, agents, and <br />employees, for claims arising out of its conduct or resulting from breach of this Agreement. <br />Nothing herein shall be deemed a waiver by either party of the limitations on liability set <br />forth in Minnesota Statutes, Chapter 466. The combined total liability of the parties arising <br />from this Agreement shall not exceed the limits on governmental liability for a single <br />governmental unit as provided in Minn. Stat. § 471.59, subd. 1a. <br /> <br />8. Third Parties. Neither the citizens of Falcon Heights, the citizens of Roseville, nor any <br />other person, are made third party beneficiaries of this Agreement. <br />9. Entire Agreement. This writing, including the recitals and exhibits which are incorporated <br />herein, contains the entire agreement between the parties regarding the provision of <br />sanitary sewer servicebetween the two cities and any amendments hereto shall be in <br />writing and mutually agreed to by the parties, except for changes in the rates as provided <br />herein. <br /> <br /> <br />RS160\\1\\1047479.v3 <br />2 <br />Qbhf!319!pg!384 <br /> <br />
