Attachment 2 <br />LICENSE AGREEMENT <br />DATA CENTER SPACE <br />THIS LICENSE AGREEMENT (this “Agreement”), effective this ____day of _________, <br />2026 (the “Effective Date”), by and between the City of Roseville, a Minnesota municipal <br />corporation, located at: 2660 Civic Center Dr, Roseville, MN 55113 (the “City”) and Metro-INET, <br />a Minnesota joint powers entity located at: 2660 Civic Center Dr, Roseville, MN 55113 (the <br />“Licensee”). <br />WITNESSETH: <br />1.City Hall Property. The City is the fee owner of certain real property, located at <br />2660 Civic Center Dr, Roseville, MN 55113 which contains City Hall (the “City Hall Property”). <br />The City Hall Property contains a data center that is utilized by the City (the “Data Center”). <br />2.Data Center. That for and in consideration of the payments hereinafter described <br />and the mutual promises contained in this Agreement, the City hereby grants to the Licensee a <br />non-exclusive license to have rack space to store equipment in the Data Center (the “Data Center”), <br />together with a right of ingress and egress over, upon, under and through the City Hall Property in <br />order to access the Data Center. The Licensee shall exercise this right in a manner so as not to <br />unduly interfere with the City’s use of the City Hall Property or damage the City Hall Property. <br />The Licensee shall have access to the Data Center 24 hours a day/seven days a week/365 days a <br />year. The City shall provide the Licensee with access cards or keys to the City Hall Property and <br />the Data Center so that the Licensee may access the Data Center during hours that City Hall is not <br />open. The City may change the location of the Data Center within the City Hall Property by <br />providing the Licensee with at least 120 days’ prior written notice. <br />3.Term. The term of this Agreement shall be for 10 years, from the Effective Date <br />to December 31, 2035. The Licensee shall have the right to terminate this Agreement early upon <br />giving at least 30 days’ prior written notice to the City. The City may terminate this Agreement <br />by providing the Licensee with at least 120 days’ prior written notice to the Licensee. <br />4.License Fee. The Licensee shall pay the City the sum of $7,536.00 per year for the <br />use of the Data Center as well as the right of ingress and egress pursuant to Paragraph 2 above (the <br />“License Fee”). The License Fee will be increased by 3% (rounded to the nearest dollar) each year <br />starting in 2027. The License Fee shall be payable yearly in advance, commencing with the first <br />payment on the date of execution of this Agreement, and on the first day of each subsequent month <br />thereafter. Payments shall be prorated for the first and last year of the term of this Agreement, <br />as applicable. <br />5.Property Ownership and Removal. The title to the City Hall Property shall remain <br />in the City at all times during this License. The Licensee shall not cause any liens to be placed <br />upon or otherwise encumber the City Hall Property, whether arising out of any work performed, <br />materials furnished, or obligations incurred while using the Data Center pursuant to this <br />Agreement. Upon termination of this Agreement, the Licensee shall remove all of its equipment <br />and other personal property from the Data Center by the effective termination date.
