Entire Agreement; Amendment. The parties agree that this Agreement constitutes <br />the entire agreement of the parties hereto and shall supersede all prior offers, negotiations, and <br />agreements. This Agreement may only be modified, altered, or amended by an agreement in <br />writing signed by the parties hereto. <br />12. Binding Effect; Counterparts. The terms of this Agreement shall be binding on the <br />parties and their successors, and assigns. This Agreement may be executed in duplicate <br />counterparts, each of which shall be deemed an original. <br />13. Governing Law. This Agreement shall be governed by and construed in accordance <br />with the laws of the state of Minnesota. <br /> <br />14. No Partnership or Joint Venture. This Agreement does not create the relationship <br />of principal and agent or of partnership or of joint venture or of any association between the City <br />and Metro-Inet, the sole relationships of the parties hereto being that of Licensor and Licensee <br />under this Agreement. <br /> <br />15. Severability.
