Attachment 2 <br />Licensee: Metro-INET <br /> 1902 County Road B E <br /> Maplewood, MN 55109 <br /> Attn: Executive Director <br /> <br />The parties shall keep each other informed in writing of any change in address. <br /> <br />11. Entire Agreement; Amendment. The parties agree that this Agreement constitutes <br />the entire agreement of the parties hereto and shall supersede all prior offers, negotiations, and <br />agreements. This Agreement may only be modified, altered, or amended by an agreement in <br />writing signed by the parties hereto. <br />12. Binding Effect; Counterparts. The terms of this Agreement shall be binding on the <br />parties and their successors, and assigns. This Agreement may be executed in duplicate <br />counterparts, each of which shall be deemed an original. <br />13. Governing Law. This Agreement shall be governed by and construed in accordance <br />with the laws of the state of Minnesota. <br /> <br />14. No Partnership or Joint Venture. This Agreement does not create the relationship <br />of principal and agent or of partnership or of joint venture or of any association between the City <br />and Metro-Inet, the sole relationships of the parties hereto being that of Licensor and Licensee <br />under this Agreement. <br /> <br />15. Severability. If any portion of this Agreement is declared by a court to be illegal <br />or in conflict with any law, the validity of the remaining terms and conditions shall not be affected <br />and the rights and obligations of the parties under this Agreement shall be construed and enforced <br />as if the Agreement did not contain the particular provision held to be invalid. <br /> <br />- 3 - <br />ME475\\1\\963650.v2 <br />Qbhf!241!pg!277 <br /> <br />
