Attachment 3 <br />MEMORANDUM OF UNDERSTANDING REGARDING DATA CENTER <br />THIS MEMORANDUM OF UNDERSTANDING (this “MOU”) is made and <br />entered into this day of _____________________, 2026 between the City of Roseville, a <br />Minnesota municipal corporation (the “City”) and Metro-INET, a Minnesota joint powers <br />entity (the “Licensee”). <br />WHEREAS, on _______________, 2026, the City and the Licensee entered into <br />that certain License Agreement – Data Center Space (the “License Agreement”), whereby <br />the City provided Licensee with a license to have rack space to store equipment in the <br />City’s data center, located within the Roseville City Hall, 2660 Civic Center Dr. Roseville, <br />Minnesota (the “Data Center”); and <br />WHEREAS, in the License Agreement, the parties agreed to enter into a separate <br />memorandum of understanding regarding particular specifications for the Data Center that <br />may change over time such as the temperature range and humidity level of the Data Center <br />along with any physical access controls required by the Bureau of Criminal Apprehension; <br />and <br />NOW THEREFORE, in consideration of the foregoing and for other good and <br />valuable consideration, the receipt of which is hereby acknowledged by the Licensee and <br />the City, the parties mutually agree as follows: <br />1.The City will be responsible for controlling the access to the Data Center. <br />The City will provide Licensee with keys and cards so that Licensee’s <br />authorized employees may access the Data Center seven days a week, 24 <br />hours a day, 365 days of the year. <br />2.The City will maintain a list of persons employed by the City who have <br />physical access to the Data Center. If requested by Licensee, the City will <br />provide Licensee with physical access logs. <br />3.The City will ensure that anyone employed by the City with physical access <br />to the Data Center has been successfully background checked by the Bureau <br />of Criminal Apprehension (the “BCA”). Individuals who do not have a <br />valid BCA background check must be escorted by an individual who has a <br />valid BCA background check when access is needed. The City is not <br />responsible for tracking or backgrounding anyone whose access is granted <br />by Metro-INET. <br />4.The City will grant Metro-INET staff with access to the Data Center seven <br />days a week, 24 hours a day, 365 days of the year. <br />5.The City will provide and maintain AC power to the data racks in the Data <br />Center. <br />1 <br />DOCSOPEN\\MA745\\1\\1008674.v2-2/4/25 <br />Qbhf!243!pg!277 <br /> <br />
