<br />GRANT OF NON-EXCLUSIVE <br />TRANSIT STOP SHELTER FRANCHISE <br />TO OUTDOOR PROMOTIONS, INC. <br /> <br />ORDINANCE NO. <br /> <br />AN ORDINANCE GRANTING TO OUTDOOR PROMOTIONS, INC. A NON- <br />EXCLUSIVE RIGHT TO LOCATE AND MAINTAIN TRANSIT STOP SHELTERS <br />IN THE CITY OF ROSEVILLE <br /> <br />Purposes. The City has adopted, through Ordinance No. 1294, codified as Chapter 1207 <br />of the City Code, and by virtue of the authority of Minn. Stat. S 160.27, a Transit Shelter <br />Program providing for the grant of franchises to franchisees to erect and maintain transit <br />stop shelters in the City. <br /> <br />Section 1. Grant of Franchise. The City hereby grants to Outdoor Promotions, Inc., <br />whose principal address is 5724 South College Avenue, Fort Collins, CO 80525, a <br />franchise to erect and maintain transit stop shelters in the City on the terms and <br />conditions contained herein. <br /> <br />Section 2. General Terms. The grant of the franchise herein is subject to all the terms, <br />conditions, and requirements of Chapter 1207 of the Roseville City Code, which <br />establishes general terms governing all grants of transit shelter franchises in the City. <br /> <br />Section 3. Terms. The franchise granted hereby shall remain in full force and effect for <br />an initial period often (10) years from and after its effective; provided, however, that the <br />franchisee shall have the option to extend the franchise for up to two (2) additional five <br />(5)-year terms if, as of sixty (60) days prior to the end of the then-current franchise term, <br />(a) there exists no uncured breach of the covenants as described in Section 1207.25A(l) <br />through (7), (b) a Forfeiture and Termination Notice, as described in Section 1207.25(B), <br />has not been given to the franchisee by the City within the previous twenty-four (24) <br />months and (c) the franchisee and the City have agreed upon the franchise fee to be paid <br />by the franchisee during the applicable terms or, in the event agreement has not been <br />reached, the franchise fee offered by the franchisee to the City for the first extension <br />period is equal to or greater than one hundred ten percent (110%) of the then-existing <br />franchise fee and the franchise fee offered by the franchisee to the City for the second <br />extension period is equal to or greater than one hundred five percent (105%) of the then- <br />existing franchise fee. <br />
