Section 11. Notices. All notices to be given pursuant to this Regulatory Agreement <br />shall be in writing and shall be deemed given when mailed by certified or registered mail, return <br />receipt requested, or hand delivered, to the parties hereto at the addresses set forth below. Each <br />notice, certificate or other communication given hereunder by the Borrower shall be given to the <br />Trustee at the address set forth below. The Borrower, City and Trustee may, by notice given <br />hereunder, designate any further or different addresses to which subsequent notices, certificates <br />or other communications shall be sent. Governing Law. This Regulatory Agreement shall be governed by the <br />laws of the State of Minnesota and, where applicable, the laws of the United States of America. <br />Section 13. Attorneys' Fees. In case any action at law or in equity, including an action <br />for declaratory relief, is brought against the Borrower to enforce the provisions of this <br />Regulatory Agreement, the Borrower agrees to pay reasonable attorneys' fees and other <br />reasonable expenses incurred by the Trustee or the City in connection with such action. <br />xo29v7s~- 9 <br />
