Section 11. Notices. All notices to be given pursuant to this Regulatory Agreement shall be in writing and shall be deemed given when mailed by certified or registered mail, return receipt requested, or hand delivered, to the parties hereto at the addresses set forth below. Each notice, certificate or other communication given hereunder by the Borrower shall be given to the Trustee at the address set forth below. The Borrower, City and Trustee may, by notice given hereunder, designate any further or different addresses to which subsequent notices, certificates or other communications shall be sent. The initial addresses for notices and other communications are as follows: To the Borrower: Gardens East Limited Partnership 2177 Youngman Avenue, Suite 180 St. Paul, MN 55116 Attn: To the Trustee: U.S. Bank National Association b0 Livingston Avenue St. Paul, Minnesota 55107-2292 Attn: Corporate Trust Department To the City: City of Roseville, Minnesota 2660 Civic Center Drive Roseville, Minnesota 55113 Attn: City Section 12. Governing Law. This Regulatory Agreement shall be governed by the laws of the State of Minnesota and, where applicable, the laws of the United States of America. Section 13. Attorneys' Fees. In case any action at law or in equity, including an action for declaratory relief, is brought against the Borrower to enforce the provisions of this Regulatory Agreement, the Borrower agrees to pay reasonable attorneys' fees and other reasonable expenses incurred by the Trustee or the City in connection with such action. xo29v7s~- 9
