1 <br />2 <br />3 <br />4 <br />5 <br />6 <br />7 <br />8 <br />9 <br />10 <br />11 <br />12 <br />13 <br />14 <br />15 <br />16 <br />17 <br />18 <br />19 <br />20 <br />21 <br />22 <br />23 <br />24 <br />25 <br />26 <br />27 <br />28 <br />29 <br />30 <br />31 <br />32 <br />33 <br />34 <br />35 <br />36 <br />37 <br />38 <br />39 <br />40 <br />41 <br />42 <br />43 <br />44 <br />45 <br />46 <br />Attachment A <br />JOINT POWERS AGREEMENT <br />PACAL SANITARY SEWER LINE <br />This Joint Powers Agreement (the "Agreement") is made by and between the city of <br />Roseville ("Roseville"), a municipal corporation under the laws of Minnesota, and the city of <br />Lauderdale (" Lauderdale") , a municipal corporation under the laws of Minnesota. <br />RECITALS <br />WHEREAS, Roseville presently maintains sanitary sewer and related equipment, <br />including a lift station, on the east side of TH 280; and <br />WHEREAS, the sanitary sewer and related equipment presently serve the Paper <br />Calmenson property, as hereinafter defined; and <br />WHEREAS, the Minnesota Department of Transportation ("MnDOT") is in the process <br />of letting State Project Numbers 6241-51 and 6242-67, which will involve MnDOT's acquisition <br />of the sanitary sewer and related equipment which presently serves the Paper Calmenson <br />property; and <br />WHEREAS, Lauderdale owns and operates a sanitary sewer line on the west side of TH <br />280 which is available to serve the Paper Calmenson property; and <br />WHEREAS, Lauderdale is willing to cooperate with Roseville and provide sanitary <br />sewer service to the Paper Calmenson property on the terms set forth herein. <br />NOW, THEREFORE, IT IS AGREED AS FOLLOWS: <br />Construction of Roseville Facilities; Connection to Launderdale Line. Roseville intends <br />to construct a new sanitary sewer line serving the Paper Calmenson property ("PaCal <br />Property") as that site is outlined in the attached Exhibit A. Lauderdale grants to <br />Roseville a right and license to connect into an existing Lauderdale Trunk Sewer line (the <br />"Trunk Sewer"), also identified in Exhibit A. Roseville shall provide the plans for this <br />project to Lauderdale for review and design approvals for the point at which the new <br />sewer line connects to the Trunk Sewer. Roseville shall pay the full cost of constructing <br />its facilities and for connecting to the Trunk Sewer. <br />2. Connection Fee. Roseville, upon completion and connection of the new sanitary sewer <br />line to the Trunk Sewer, will pay Lauderdale the sum of $87,500 as a connection charge. <br />This charge is based on a presumed redevelopment capacity of the PaCal Property of a <br />flow of 115 gpm. If actual redevelopment of the PaCal Property exceeds this flow <br />presumption, the parties agree to equitably adjust this fee. <br />3. Preventative Maintenance. Given the flow contribution of the new sanitary sewer line to <br />the Trunk Sewer, the parties agree to share in the preventative maintenance cleaning cost <br />
