Attachment A <br />SETTLEMENT AGREEMENT <br />IN LIEU OF CONDEMNAT�ON <br />TH�S AGREEMENT is made as of 3une ��'j , 2009 between Ros�ville <br />Acc�uisitian.s, LLC, ("S�ll�r"), ar�d the City of Roseville, a Miz�nesota municipal <br />corporaiian {`Buyer"). <br />RECITALS: <br />A. Seller is the fee owner af praperty located in Roseville, Ramsey County, <br />Minnesota ("Property"), the legal descri�tion of which is depicted an Exhibit A, attached <br />hereto. <br />B. Scller wishes to convey, and Buyer wishes to purchase the Property, <br />together wrth all rights, privileges, easements, and appurtenances belonging thereta. <br />C. Seller also wishes to convey, and Buyer wishes to purchase a Tempo:rary <br />Construction Easement ("Construction Easement"), as set forth in E�ibit B, and a <br />Building DemoIition Easement ("Demolition Easement"), as set forth in Exhibit C. <br />AGREEMENT: <br />In consideration o� the mutual covenants and agreements herein contained and <br />other goad and valuable consideration, the receipt and su�ficiency of which are hereby <br />acknowledged, the parties ag�ree as follows: <br />1. Purcbase o#' Property in Lieu of Condemnation. This Agreemen� is entered into <br />in iieu a� condemnation by Buyer. SeIler hereby agrees to sell and Buyer laereby agrees <br />to purchase the Pro�crty including all easements and rights of evezy kind and nature <br />benefiting o:r appurtenant to the Prop�rty, subject to the Permitted Encumbrances as <br />provided herein. <br />2. Purchase Prfce and Manner of Paymenf. T�ie total pY,�rchase price ("Purchase <br />Price") to be paid by Buyer to Seller for the Prflperty, Construction Easement, and <br />Demoli�ion Easemeni shail be $2,107,700, and shall be paid to Seller on the Closing Date <br />in a City draft or other immediately available funds. <br />3. Temporary Easements. As further consideration for �he Purchase Price, �eller <br />agrees to grant $uyer a temporary Constri.2ction Easert�eni for the construction of <br />roadway improvements and a temporary building Demolition Eas�ment for pu�poses of <br />demolishing buildir�gs. Seller agzees to grant the Easements, attached hereto as Exhibit B <br />and Exhibit C, to the Buyer at the Clasing. Buyer agrees ta demolish the buildings <br />
