amount of $ 14,243, including engineering. It is understood that the estimated cost will be <br />adjustedwhen actual costs are determined, and that Roseville will compensate Capitol Region <br />Watershed District for Roseville's share of actual costs attributable to the storm water <br />improvement work to be performed under this Agreement. All records and costs pertaining to <br />the work to be performed under this Agreement shall be kept by Capitol Region Watershed <br />District and Roseville in accordance with the establishedrecord keeping and accounting <br />procedures developed by each party. Upon completion of the work, Capitol Region Watershed <br />District will submit a payment request for construction costs to Roseville, payable in full within <br />sixty (60) days of the billing date. It is also understood that all parties will be billed for <br />engineering services including actual costs for construction observation, inspection, surveying <br />and administration, not to exceed 10% of the amount bid. <br />v. <br />Maintenance and public safety will be the responsibilityof Capitol Region Watershed <br />District during the construction phase. <br />VT. <br />It is further agreed that any and all employees of Capitol Region Watershed District and <br />all other persons engaged by Capitol Region Watershed District in the performance of any work <br />or services required, volunteered, or provided for herein to be performed by Capitol Region <br />Watershed District, shall not be considered employees of Roseville, and that any and all claims <br />that may arise under the Worker's Compensation Act of the State of Minnesota on behalf of said <br />employees while so engaged, and any and all claims made by any third parties as a consequence <br />of any act or omission on the part of said employees while so engaged on any of the work or <br />services provided to be rendered herein, shall in no way be the obligation or responsibility of <br />Roseville. <br />ViT. <br />Capitol Region Watershed District agrees to defend, indemnify, and hold the other parties <br />hereto harmless from all claims, actions, damages, injuries or losses asserted by third parties <br />which are related to or arise out of the construction work contemplated by this Agreement. <br />V�J�. <br />Arlington Pascal Stormwater Improvement Project — Cooperative Construction Agreement <br />Capitol Region Watershed District 06/08/06 Page 3 of 8 <br />
