EASEMENT (ENE050) <br />The Ramsey County Regional Railroad Authority, a political subdivision of the State of <br />Minnesota (RCRRA) in consideration of the sum of One Dollar {$1.00), the mutual promises and <br />covenants herein, and other good and valuable consideration, does hereby quitclaim and convey <br />to the City of Roseville, a municipal corporation and political subdivision of the State of <br />Minnesota (the City) a perpetual easement (the Easement) for the construction, operation, use, <br />and maintenance of a public trail or trails over and upon the following described property located <br />in the County of Ramsey, State of Minnesota, to-wit: <br />SEE ATTACHED EXHIBIT A <br />The parties agree and acknowledge that the RCRRA has acquired the railroad right-of-way over <br />which the Easement is granted (the Corridor} for the purposes of preserving the Corridor for <br />future transit purposes, including construction, operation, and maintenance of a Light Rail <br />Transit system (LRT) within the Corridor, and that the Easement is subordinate to such use and <br />any trail or trails constructed by the City shall be subject to the following terms: <br />1. The City shall submit all plans for t�ae design and construction of trail or trails to <br />the RCRR.A for approval, which approval will not be unreasonably withheld. <br />2. Any trail or portion of trail cansfin.icted within the Easement area shall be subject <br />to relocation within the Corridor upon demand by the RCRRA at such times as the RCRRA <br />— determines to use the Corridor for transit purposes. Such relocation shall be at the sole cost and <br />— expense of the City. <br />3. The RCRRA shall have the sole, final and exclusive right to determine when it <br />will collstruct a transit system, the nature and kind of transit system to be constructed, the <br />location of the transit system within the Corridor, and the nature and kind of safety features, <br />including but not limited to fencing between the trail and any rail lines or tracks which will be <br />required for the trail or trails. Such safety features will be provided at the sole cost and expense <br />of the City. <br />4. The City shall, at the request of the RCRRA, close the trail in whole or in part, <br />during the construction of transit improvements by the RCRRA. <br />5. The City shall be responsible for security and maintenance of the Corridor, <br />including but not limited to keeping the Corridor free of trash, garbage, refuse, noxious weeds, <br />and other general maintenance, prior to construction of transit improvements by the RCRRA. At <br />such time as the RCRR.A uses the Corridor for transit purposes, it shall be responsible for <br />security and maintenance, except for the trail area, which will remain the responsibility of the <br />City. <br />6. Any easements created pursuant to this Agreement shall be freely assignable by <br />the RCRRA, and RCRItA's assignee shall be bound by the terms of said Easement. <br />
