20. Notices. Required notices to the DEVELOPER shall be in writing and shall be either <br />hand delivered to the DEVELOPER, its employees or agents, or mailed to the <br />DEVELOPER by registered mail at the following address: <br />Forrest Russell <br />Target Corporation <br />I000 Nicollet Mall, TPN-11K <br />Minneapolis, MN 55403 <br />Notices to the CITY shall be either hand delivered or mailed to the CITY by registered mail in <br />care of the City Engineer at the following address: <br />City of Roseville <br />Attn: City Engineer <br />2660 Civic Center Drive <br />Roseville, M�I 55113 <br />21. Warranty and Representation by CITY. <br />CITY hereby warrants and represents that it has the power, authority and legal right <br />under the laws of the State of Minnesota to (i) execute and deliver this Agreement, (ii) observe �� <br />all the terms and provisions of this Agreement and all documents referenced in this Agreement, � <br />and (iii) incur and perform its obligations under this Agreement and the transactions �� <br />contemplated hereby. This Agreement has been duly executed and delivered. � <br />22. Force majeure. "Force majeure" shall mean delays due to (i) strikes, slowdowns, <br />lockouts or inability to obtain labor or materials, (ii) acts of God, war, enemy action, terrorists' <br />acts, civil commotion, fire, casualty or unforeseen weather conditions, (iii) a court order which <br />causes a delay, (iv) the application of any requirement by the CITY that is not contained in the <br />initially-approved plans, (v) delays attributable to the discovery of hazardous substances on or <br />under the PLAT or (vi) another cause beyond such party's control or which, if susceptible to <br />control by such party, shall be beyond the reasonable control of such party. Such party shall use <br />reasonable good faith efforts to notify the other party not later than twenty (20) calendar days <br />after such party knows of the occurrence of a force majeure; provided, however, that either <br />party's failure to notify the other of the occurrence of an event constituting a force maj eure shall <br />not alter, detract from or negate its character as a force majeure or otherwise result in the loss of <br />any benefit or right granted to the delayed party under this Agreement. In no event shall any <br />party's financial condition or inability to fund or obtain funding or financing constitute a"force <br />majeure" with respect to such party. Times for performance by DEVELOPER set forth in this <br />Agreement shall be e�tended to the extent performance is delayed by force majeure. <br />-� <br />
