(e) .T'axes. The Redeveloper s��ali pay all outstanding real estate taxes, special <br />assessments, recording and other outstanding �zlisceIlax�eaus costs relating to the City Parcels. <br />�ti!� ?'�crr_ Tl7e Redeveloper at its expense shall record the Final Plat or Plats for the <br />Project. Except as the Pat��es may a�ree otherwise, :l:ti relevant Final Plat shall be filed for <br />recording before Go�x�l�encen�e�7t of Gonstz-�lctio.i3. <br />Section 3.8. ConditionsPrecedent to Convevance. <br />�a� Tl�e City's obligation to convey each City Pazce� to the Redeveloper shall be subject <br />to the following conditions: <br />(1� The City sl�a�� �1ave acquired title to the City Parcel; <br />�2� On the date of Closing, the Redeveloper shall be z�a. material compliance <br />~x i���. all of the tern�s and provisions of this Agree�lent; <br />�3� The Redeveloper shall have paid the purchase price described ii� Section <br />3.7(c}; and <br />�4� The Tax Increment Distt�ict shall have been established and a request for <br />certification made to the County Auditor. <br />�b� The Redeveloper's obligation to acquire each City Parcel shall be subject to the City <br />having approved the P�°elir�iii�aty Plat relating to sucli City Parcel. <br />Section 3.9. Acc�uisition or Envizoi�nei�tal Re�r€ediation of Parcel Becomes �z��assible or <br />Conullercially I��lpract�cable. <br />�a� If the City is legally ��3able to acquire a Parcel tl�ot�;li the eininent doma€u <br />process and, if both Parties agree that the elilnii�a�ion of s�iclZ Parcel will not substantially impair <br />the i�ltegrity of the entire Project, the Parties ���it1 use their best efforts to reach agreement as to <br />whether changes to the Concept Plan can be made to accommodate t�ie elimination of the Parcel. <br />A.��y such changes shall be subject to the approval of City Council and the Redeveloper. <br />�b� If �he cost to acquire either or boti� of Parcels $-I or 8-2 would render the entire <br />Project (not just Blocic 7, which is the �ortio� of the Project within Area 8) Financially <br />Unfeasible (as defined in stibpara�aph (d) below), and if bot�l Parties agree that the elinunatiaji <br />of sucl� Parcel will not st�bsta��tia�ly i���pai�• tl�e integrity of the Project, the Parties will use their <br />best e�fo��ts to reach agreement as to whether changes to the Concept �'la�� can be made to <br />accommodate the elimination of such Parcel or Parcels. Such changes will be subject to the <br />approval of City Cou��c�1 and the Redeveloper. <br />��� If the cost of Environmental Re�n�diation would render the entire Project <br />Financially Unfeasible, the Parties agree to discuss whether changes to the Concept Plan can be <br />made (s�ic�i as to eliminate andJor change the land use of one or more Parcels) in a way which <br />
