EXTRACT OF MINUTES OF MEETING OF THE CITY COUNCIL OF THE CITY OF ROSEVILLE Pursuant to due call and notice thereof, a regular meeting of the City Council of the City of Roseville, County of Ramsey, Minnesota, was held on the day of , 2005, at G:00 P.M. The following members were present: Council Member introduced the following resolution and moved its adoption: RESOLUTION NO. RESOLUTION AUTHORIZING THE ACQUISITION OF CERTAIN PROPERTY FOR PUBLIC USE BY RIGHT OF EMINENT DOMAIN BE IT RESOLVED by the City Council (the "Council") of the City of Roseville, Minnesota (the "City"), as follows: Section l. Recitals. 1.01 The City, with such additional authority granted the City under Miruiesota Statutes Sections 469.048-469.068, has adopted its Restated Development Program for Development District No. l, a copy of which is attached as Exhibit A; and 1.02 The City has entered into a Contract for Private Redevelopment by and between the City of Roseville, Minnesota and Roseville Twin Lakes, LLC dated as of September 9, 2005 (the "Contract"), a copy of which is attached as Exhibit B. The project, as contemplated in the Contract, is known as the "Twin Lakes Project"; and 1.03 Pursuant to Section 3.1 of the Contract, Roseville Twin Lakes, LLC (the "Redeveloper"), was obligated to diligently pursue acquisition of the Redevelopment Property as the same is defined in the Contract; and 1.04 The Redeveloper has provided the City with a report setting forth its efforts to diligently pursue the acquisition of the Redevelopment Property but has been unable despite such diligence to acquire six of the Redevelopment Property parcels (the "Subject Properties"), which properties are set forth on Exhibit C hereto;
