Attachment C <br />EXHIBIT "D" <br />RELEASE OF ALL CLAIMS <br />This Release of All Claims is executed by (collectively <br />"Seller"). <br />1. Release of All Claims. Seller hereby fully releases, acquits, and forever discharges the <br />City of Roseville, its current and former City Council members, officers, employees, agents, <br />representatives, insurers, attorneys, and other affiliates from any and all liability for any and all <br />damages, actions, or claims — regardless of whether they are known or unknown, direct or <br />indirect, asserted or unasserted — that arise out of or relate to any action, decision, event, fact, or <br />circumstance occurring on or before the date Seller signs this Agreement. <br />(a) Seller understands and agrees that by signing this Agreement they are waiving <br />and releasing any and all claims, complaints, causes of action, and demands of <br />any kind that Seller may have based on any federal or state law including, but not <br />limited to, Minnesota Statutes Ch. 117. <br />(b) Seller understands and agrees that this Release of All Claims specifically <br />includes, but is not limited to, any and all claims that arise out of or relate in any <br />way to the City's initiation and abandonment of condemnation proceedings as to <br />Seller's Property, to any "cloud of condemnation" theory or "bad faith in <br />condemnation," or to any theory based on the location of Seller's Property within <br />the Twin Lakes Development Area. <br />By signing below, Seller specifically acknowledges that they have read this Release; that <br />Seller has had an opportunity to review the terms of this Release with legal counsel; and <br />that Seller understands and agrees to be legally bound by all terms of the Release. <br />Date: <br />Date: <br />RRM: #131929/sld <br />
