Software and Equipment License and Services Aqreement <br />This Agreement for software and equipment licenses and services ("Agreement") is made and <br />t�ntered into this 19 day of October, 2009 by and between Law Enforcement Technology Group, <br />�LLC, a Minnesota limited liability company ("LETG') and the City of Roseville(CoR). <br />LETG shall furnish CoR with all necessary software, hardware, wiring, peripherals, labor, <br />*raining, and a one year warranty for a web-based police records management system, field <br />; eporting and mobile applications. LETG shall also provide CoR with documentation for the <br />}ystems in the form of user manuals, instructions, report format samples, screen shots, etc. <br />For good and valuable consideration, the parties agree as follows: <br />Section 1. DEFINITIONS. <br />"CAD" means Computer Aided Dispatch System. <br />"Integration" means combining separately produced components or programs to produce a common <br />�urpose or set of objectives to unify separate programs or architectures. <br />"Interface" means a set of statements, functions, options or ways of expressing program instructions <br />`or communication and supported between systems and/or other programs. <br />"Mobile" means an in-vehicle accessible application. <br />"Modification" means a LETG-proposed solution to a requirement that may not be entirely compliant <br />,Nith the specifications but will offer some or all functionality of the stated requirement. <br />"Module" means a functional application of the system such as the "CAD Module" or the "Records <br />1/lanagement Module." <br />"Project Coordinator" means the person appointed by the cities and counties for general supervision <br />�nd direction of work as required by this Agreement. <br />"Project Manager" means the primary LETG representative charged with the overall scope of the <br />:.ontracted work, including scheduling, implementation, training, etc. <br />"RMS" means Records Management System. <br />"System" means the total of all parts of the Agreement which includes CAD, Records Management, <br />rield Reporting, Mobile and all other requested functions. <br />�ection 2. LETG'S REPRESENTATIONS. <br />?.1 LETG represents that it is a limited liability company duly incorporated, validly existing and in <br />good standing under the laws of the State of Minnesota. <br />'?.2 LETG represents that the execution, delivery and performance of this Agreement has been <br />Page 3 of 20 <br />
