Mortgagor from such obligations, shall not be unreasonably withheld. <br />8. Lender Approvals, Etc. In any approval, consent, or other determination by the <br />Mortgagee required under any of the Loan Documents, Mortgagee shall act reasonably <br />and in good faith. <br />9. Subordination. The Mortgagee acknowledges that Mortgagor intends to enter into, or <br />concurrently with the execution and delivery of the Loan Documents are entering into, <br />an e�ended use agreement, which constitutes the e�ended low-income housing <br />commitment described in Section 42(h)(6)(B) of the Internal Revenue Code, as <br />amended. The Mortgagee agrees to subordinate the Loan and Mortgagee's rights under <br />the Loan Documents executed in conjunction therewith to the relevant provisions of said <br />extended use agreement. This subordination is being made in consideration of the <br />allocation of tax credits to the Proj ect, absent which the development of the Proj ect <br />would not occur, and this mortgage loan would not be made. <br />10. Prohibition of Sale. The Mortgagee sha11 not (a) sell, assign, transfer, or convey any <br />such indebtedness (or any interest therein) to Federal National Mortgage Association <br />("Fannie Mae"), or (b) include such indebtedness (or any interest therein) in a pool of <br />loans to be sold, assigned, transferred, or conveyed to Fannie Mae, without the <br />Mortgagor's prior written consent. <br />: <br />
