Section 2.5. Directors may not serve more than two (2) consecutive terms in addition <br />� to any partial term to which they l�ad been appointed to fill as a result of a vacancy. <br />Section 2.6. ff a vacancy occurs on the Board, the appointment shall be filled by the <br />:�. � <br />Section 2.7. The term of a director filling a vacancy expires at the end of the <br />unexpired term that the director is filling. <br />Section 2.8. The Board shall serve without compensation. <br />Section 2.9. A director may resign at any time by giving written notice to the <br />Corporation. A resignation is effective at the time it is delivered to the Corporation, unless a <br />later effective date is specified in the notice. <br />Section 2.10. A director may be removed as follows: <br />(1� By the entity which appointed the director, without cause, at any time; <br />� <br />(2) By the Board when the director has missed three (3) consecutive Board meetings <br />without good cause or l�as missed 30% of the Board meetings during a twelve <br />month period; and <br />(3) A director shall be removed and replaced by the entity that appointed the <br />director when he/she is no longer qualified to be a director. <br />Section 2.1 L Written notice of the removal of a director shall be promptly given to the <br />director and either to the Chair or Secretary of the Corporation and to the entity that appointed <br />the removed director. Removal is effective as specified in the notice. <br />Section 2.12. The Board shall have the power to appoint one (1) to four (4) additional <br />directors to serve alongside the five (5) original directors identified in the Articles of <br />Incorporation.
