c) Owner represents that Owner has no knowledge of any substance, chemical, or <br />waste on the Owner's Property that is identified as hazardous, toxic or dangerous <br />in any applicable federal, state or local law or regulation. <br />24. Assi�nment. This Agreement shall run with the Property and shall be binding upon and <br />inure to the benefit of the parties, their respective successors, personal representatives and <br />assigns. Neither party shall assign its rights or delegate its duties under this Agreement <br />without the prior written consent of the other party, which consent shall not be <br />unreasonably withheld, delayed or conditioned. Notwithstanding the foregoing, Lessee <br />may assign this Agreement, or sublet the Premises, without Owner's consent, (i) to any <br />parent, subsidiary, or affiliate entity, (ii) to any successor in interest of all or substantially <br />all of the assets, stock or business of Lessee to which this Agreement pertains, ar(iii) to <br />any other entity to which Lessee transfers ownership of, and/or management <br />responsibility for, a majority of its antenna support towers in the market in which the <br />facility is located, which assignment or transfer shall fully release Lessee from any further <br />obligations or liability under the terms of this Agreement commencing on the effective <br />date of the assignment or transfer. A person, association, partnership, corporation or <br />joint-stock company, trust, or other business entity, however organized, is an affiliate of <br />the person or entity which directly or indirectly, through one or more intermediaries, <br />controls, is controlled by, or is under common control with, such person. Control shall be <br />defined as (i) ownership of 20% or more of the voting power of all classes of voting stock <br />or (ii) ownership of 20% or more of the beneficial interests in income and capital of an <br />entity other than a corporation. <br />25. Miscellaneous. <br />a) Each party agrees to furnish to the other, within ten (10) days after request, such <br />truthful estoppel information as the other may reasonably request. <br />b) This Lease constitutes the entire agreement and understanding of the parties and <br />supersedes all offers, negotiations, and other agreements of any kind. Exhibits <br />"A" through "C" are incorporated into this Agreement by reference. There are no <br />representations or understandings of any kind not set forth herein. Any <br />modification of or amendment to this Lease must be in writing and executed by <br />both parties. <br />c) This Lease shall be construed in accordance with the laws of the State of <br />Minnesota. <br />d) If any term of this Lease is found to be void or invalid, such invalidity shall not <br />affect the remaining terms of this Lease, which shall continue in full force and <br />effect. <br />12 <br />
