8. ACCEPTANCE <br />8.1 WSP shall inspect all Products it receives immediately upon arrival at destination and shall, <br />within ten (10) calendar days of arrival, give written notice to the freight forwarder and <br />WaveRider of any claim for damages or shortages. Within ten (10) calendar days of arrival, <br />WSP shall give written notice to WaveRider of any claim that the Products do not conform with <br />the terms of this Agreement. Should WSP fail to give such notice, or fail to obtain an extension <br />from WaveRider, the Products shall be deemed to be accepted. <br />9. LIMITED WARRANTY <br />9.1 WaveRider warrants that WSP shall acquire good and clear title to the Products purchased <br />hereunder, free and clear of all liens, claims and encumbrances. WaveRider further warrants that <br />the Products delivered hereunder shall be free from defects in material or workmanship for a <br />period of one (1) year after the date of delivery. WaveRider will honor the warranty on a return <br />to factory basis, or at any other WaveRider Authorized Warranty Service Location. WSP must <br />obtain authorization and shipping instructions from WaveRider prior to returning any Products <br />under this Warranty. It is WSP's responsibility to return the defective Products to WaveRider at <br />WSP's expense. WaveRider will pay transportation charges for the return of the Products to <br />WSP or its customer. <br />If WaveRider determines that the Products returned to it for warranty correction are not defective <br />within the terms of the Warranty, WSP shall pay WaveRider all costs of handling and <br />transportation. WaveRider's sole responsibility under the Warranty will be, at its option, to <br />either replace or repair any Products which fail during the Warranty period due to a defect in <br />workmanship and/or material, provided WSP has promptly reported same to WaveRider in <br />writing and WaveRider has, upon inspection, found such Products to be defective. Any <br />inspection required at any location other than a WaveRider Authorized Warranty Service <br />Location shall be at WaveRider's then prevailing rates except that there shall be no charge for <br />inspection of Products under a then prevailing WaveRider Maintenance Agreement. All <br />replaced Products or parts will remain WaveRider's property. This warranty is further limited by <br />the terms of item 10 set forth herein below. <br />9.2 The warranty services herein described are valid only with respect to Products installed within <br />the territory specified in article 1.1 or other areas specifically authorized by WaveRider and are <br />contingent upon proper use of the Products. The warranty shall not apply to defects resulting <br />from improper or inadequate maintenance by the buyer; buyer supplied interfacing, unauthorized <br />modification or misuse, operation outside of the environmental specifications for the product, or <br />improper site preparation or maintenance. <br />9.3 WaveRider warrants that all WaveRider Software Products hereunder will conform to <br />WaveRider's then prevailing specifications when shipped. WSP must notify WaveRider in <br />writing within ninety (90) days of shipment as to any defects. WaveRider's obligation under this <br />Software Warranty is to correct any such defects in a manner deemed suitable to WaveRider. <br />9.4 EXCEPT FOR THE VVARRANTIES SET FORTH HEREIN, WAVERIDER DISCLAIMS <br />ALL WARRANTIES WITH REGARD TO THE PRODUCTS, INCLUDING ALL <br />90115 <br />
