12.2 WSP acknowledges being specifically advised that WaveRider maintains on its current published <br />Product and price list certain software products which ha�e not been developed by WaveRider <br />and are not owned by WaveRider. WaveRider nonetheless represents that it has full and <br />complete authority to sublicense same as a duly authorized licensee of the owner of the product, <br />and WaveRider further grants said sublicense to the WSP to include the right to order and <br />possess quantities of such software product, the right to sublicense the software directly to the <br />end users and the limited right to promote, advertise and market the software products. <br />12.3 With regard to all software products, whether or not owned by WaveRider, acquired by the WSP <br />pursuant to the terms of this Agreement, the WSP agrees on behalf of itself and on behalf of the <br />end user that no copies of said software shall be made and no information contained in said <br />software, in the source code or in any instruction manual or booklet, nor any information gained <br />from the use of said software by the WSP or by the end user shall be disclosed by the WSP or the <br />end user to any person or entity whatsoever who is not an authorized licensee or sub-licensee of <br />the owner of said software product. WSP acknowledges, and will so advise its end-users and <br />customers, that neither the WSP nor the end user acquires any ownership rights whatsoever to <br />any software product acquired by the WSP pursuant to the terms of this Agreement and that the <br />license or sublicense granted hereby is strictly for the purposes of the use of the software product <br />and for no other purposes whatsoever. WaveRider further reserves the right to limit the location <br />and number of sites and/ar terminals upon which the software products are in fact used. W SP <br />acknowledges that either WaveRider or some other owner of a subject software product may <br />resort to equitable remedies in order to enforce these license provisions. <br />13. USE OF WAVERIDER'S NAME <br />13.1 WaveRider hereby authorizes and requires WSP to retain any WaveRider markings or other <br />insignia that are affixed to Products at the time of shipment. <br />13.2 WaveRider hereby authorizes WSP's use of the legend WaveRider Communications Inc. <br />Authorized WSP during the term of this Agreement. Upon termination of this Agreement, WSP <br />unmediately shall discontinue the use of such legend. <br />13.3 WaveRider expressly prohibits any direct or indirect use, reference to, or other employment of <br />its name, trademarks, or trade names, except as specified in this Agreement or as expressly <br />authorized by WaveRider in writing. <br />14. TRAINING <br />14.1 WaveRider shall conduct training courses for WSP to qualify and maintain Authorized WSP <br />status, in accordance with WaveRider training policies and practices. WSP has an obligation to <br />require WSP's personnel to attend such scheduled training sessions as are necessary to properly <br />and effectively market, sell and support WaveRider Products. Such training shall be provided to <br />WSP in accordance with WaveRider's then current training pricing policy. WSP acknowledges <br />responsibility for all expenses for such training, including but not limited to, salaries, tra�el, <br />lodging, subsistence and miscellaneous expenses of course attendees. <br />90115 <br />
