21.2 A valid contract binding upon the parties hereto shall come into being only upon execution of <br />this Agreement by a duly authorized representative of WSP and WaveRider Communications <br />Inc. <br />21.3 This Agreement is the exclusive statement of the entire agreement between WaveRider and WSP <br />and supersedes all prior oral or written representations or agreements between the parties as to <br />the subject matter hereof. No amendment hereto shall be valid except as may be in writing and <br />signed by the duly authorized representative of each party hereto. <br />21.4 The parties hereto agree that the terms and conditions contained herein shall prevail <br />notwithstanding any variations contained on purchase orders submitted by WSP. <br />21.5 This Agreement shall be governed, construed and take effect in all respects in accordance with <br />the local domestic law of the State of Minnesota, excluding its law of conflicts and any <br />international treaties and conventions. <br />21.6 The particular provisions of this Agreement shall be governed by the Minnesota Government <br />Data Practices Act as required by law.
