7.5. This GRANT AGREEMENT may be executed simultaneously in two or <br />more counterparts, each of which shall be an original, but all of which <br />shall constitute one agreement. <br />7.6. This GRANT AGREEMENT shall be governed by, interpreted, and <br />construed in accordance with the laws of the State of Minnesota. <br />7.7. This GRANT AGREEMENT supersedes and has merged into it all prior <br />oral and written agreements between GRANTEE and AUTHORITY <br />regarding the PROJECT. <br />7.8. This AGREEMENT shall be interpreted and construed according to the <br />laws of the State of Minnesota. All litigation regarding this <br />AGREEMENT shall be venued in the appropriate state or federal district <br />court in Ramsey County, Minnesota. <br />7.10. The AUTHORITY's rights hereunder shall be fully assignable, but the <br />GRANTEE's rights hereunder shall not be assignable without the written <br />consent of the AUTHORITY which consent shall be in the <br />AUTHORITY's sole discretion. <br />7.1 L It is agreed that nothing contained in this AGREEMENT is intended or <br />should be construed as creating the relationship of agents, partners, joint <br />venturers, or associates between the parties hereto or as constituting the <br />BORROWER as the employee of the AUTHORITY for any purpose or in <br />any manner whatsoever. The BORROWER is an independent contractor <br />and neither it, its employees, agents nor representatives are employees of <br />the AUTHORITY. <br />Page -9- <br />
