FORM – DRAFT <br />[Letterhead of Applicant] <br /> <br />Honorable Chairman and Commissioners of <br />the Roseville Housing and Redevelopment Authority <br />City of Roseville <br />2660 Civic Center Drive <br />Roseville, MN 55113 <br /> <br />RE: Application of __________________________ for <br />Tax Increment Financing/Tax Abatement and/or <br />HRA Fund Assistance of a Project <br /> <br />Chairman and Commissioners of the Roseville HRA: <br /> <br />This Letter of Agreement (the “Agreement”) is given by ________________________ as <br />a/the _________________ of _________________________, a ____________ <br />_________________________ (the “Applicant”) in conn ection with the review and <br />consideration of tax increment assistance or other HRA public financing assistance for the <br />___________________________ (the “Project”) by the Roseville HRA and the City <br />(collectively the “City”). In consideration, the A pplicant hereby covenants and agrees as <br />follows: <br /> <br />1. Consulting Services . The City shall have the right to employ legal counsel, bond <br />counsel, accounting, real estate, financial, engi neering, architectural a nd other consultants to <br />review the proposed Project and all proposed financing therefor. <br /> <br />2. Other Costs and Expenses . The City shall have the right to allocate and charge to <br />the proposed Project costs and expenses for photo copies, publications, postage and other similar <br />items rendered or incurred with respect thereto. <br />3. Payment of Costs . The Applicant shall pay all costs, expenses and consulting <br />services incurred by the City wi th respect to the Project and any issuance of tax increment <br />obligations or other HRA funding to finance all or part of the cost thereof, including but not <br />limited to costs and expenses of the types enumer ated in paragraphs 1 and 2, whether or not the <br />Project is approved and constructed or the City issues tax increment obligations or other HRA <br />funding assistance therefor. Th e Applicant submits herewith a check in the amount of <br />$__________, the proceeds of which may be deposited in a savings account by the City and used <br />and disbursed by the City to pay such costs, ex penses and consulting services when due. Upon <br />notice from the City to the A pplicant that the balance of A pplicant’s funds has fallen below <br />$2,500, the Applicant shall deposit a dditional funds with the City in order to bring the fund <br />balance to at least $2,500, unless the HRA Executive Director deems a lesser amount sufficient. <br />4. Termination of Consideration of Project . Upon completion of consideration of the <br />Project or notice from the Applicant that it is di scontinuing the Project or withdrawing its request <br />for tax increment assistance or other HRA funding a ssistance, the City shall pay all such costs, <br />
