<br /> <br />2 <br />III. Compensation. The fees for the City services sh all be paid as a transfer of funds <br />from the HRA to the City of Roseville prorated on a monthly basis. The total fee for 2007 is <br />$45,000 which includes an estimated 15-20 hours per week of a staff member within the <br />Community Development Department as approved by the HRA Board. <br /> <br />IV. Indemnification. The parties shall indemnify and hold harmless each other and their <br />officials, agents, and employees from any loss, claim, liability, and expense (including <br />reasonable attorney's fees and expenses of litigation) arising out of any action of the respective <br />parties in the performance of the service of this contract. <br /> <br />V. Assignment. This agreement shall not be assigned, sublet, or transferred by the City <br />or the HRA without written consent of the other party and a minimum of 30 days notice in <br />writing. <br /> <br />VI. Conflict of Interest. The City agrees to immediately inform, by written notice, to the <br />HRA Chair, possible contractual conflicts of intere st in representing the HRA for staff services. <br />Conflicts of interest may be grounds for termination of this Agreement. <br /> <br />VII. Termination : This agreement may be terminated by a majority vote of either party <br />and for any cause upon 30-day written notice. <br /> <br />VIII. Notices . All notices to be given hereunder shall be in writing and shall be <br />deemed given the earlier of receipt or three (3) business days after deposit in the United States <br />Mail, postage prepaid, addressed to: <br /> <br />A.
