HOUSING & REDEVELOPMENT AUTHORITY <br />IN AND FOR THE CITY OF ROSEVILLE <br />SERVICES AGREEMENT <br />THIS IS AN AGREEMENT entered into the _ day of January, 2009 by and between <br />the Housing & Redevelopment Authority in and for the City of Roseville, Minnesota, hereinafter <br />referred to as the HRA, and the City of Roseville-Finance Department, a governmental <br />municipality organized and existing under the laws of the State of Minnesota, hereinafter <br />referred to as the City. <br />WITNESSETH: <br />WHEREAS, the HRA desires to hire the City to render certain fiscal assistance in <br />connection with such undertakings of the HRA. <br />NOW THEREFORE, the parties hereto do mutually agree as follows: <br />I. Scope of Services. The City shall perform necessary and requested services for the <br />implementation of financial actions and activity of the HRA as outlined in Attachment A of this <br />agreement and summarized as follows: <br />A. Process bi-weekly payroll and payment of invoices. <br />B. Provide monthly reporting including summaries of past and current revenues and <br />expenditures. <br />C. Provide assistance and guidance in the preparation of the HRA's annual budget. <br />D. Coordinate the selection of a CPA firm and the preparation of all audit work papers <br />for the purposes of conducting an annual financial audit. (Audit costs shall be paid by <br />the HRA). <br />E. Establish and maintain all banking and investment relationships and procedures. <br />F. Provide for the proportionate share of office space, office supplies, etc. <br />G. Maintain coverage for the HRA and its activities, on the City's insurance policies. <br />II. Term. This agreement shall be effective upon the approval of the HRA Board of <br />Directors and the City Council and shall continue for one calendar year subj ect to written <br />renewal by the parties for subsequent one year terms. <br />III. Compensation. The fees for the City services shall be paid as a transfer of funds at <br />the beginning of the calendar year based upon 5% of the total administrative budget for the HRA <br />within that calendar year. In 2009, the HRA Administrative Budget is in the amount of <br />$101,500. <br />IV. Indemnification. The parties shall indemnify and hold harmless each other and their <br />officials, agents, and employees from any loss, claim, liability, and expense (including <br />reasonable attorney's fees and expenses of litigation) arising out of any action of the respective <br />
