HOUSING & REDEVELOPMENT AUTHORITY <br />IN AND FOR THE CITY OF ROSEVILLE <br />SERVICES AGREEMENT <br />THIS IS AN AGREEMENT entered into the _ day of January, 2009 by and between <br />the Housing & Redevelopment Authority in and for the City of Roseville, Minnesota, hereinafter <br />referred to as the HRA, and the City of Roseville, a governmental municipality organized and <br />existing under the laws of the State of Minnesota, hereinafter referred to as the City. <br />WITNESSETH: <br />WHEREAS, the HRA desires to contract with the City for the services of administrative <br />support staff to support the administrative undertakings of the HRA and such other <br />responsibilities such as recording and maintaining accurate records of the meetings of the HRA <br />and of all official actions taken by or on behalf of the HRA. <br />NOW THEREFORE, the parties hereto do mutually agree as follows: <br />I. Scope of Services. The support staff assigned by the City to the HRA shall perform <br />necessary and requested services relating to the actions and activities of the HRA as outlined <br />below: <br />A. Facilitate the production of the HRA monthly agenda packet as prepared by the HRA <br />Executive Director and mail to HRA members and City Council members; <br />B. Update information affecting the HRA on the City web page including the posting of <br />meeting agenda and packet information prior to each monthly HRA meeting; and <br />C. Other administrative support actions requested by the HRA Board. <br />II. Term. This agreement shall be effective upon the approval of the HRA Board of <br />Directors and the City Council and shall continue for one calendar year subj ect to written <br />renewal by the parties for subsequent one year terms. <br />III. Compensation. The fees for the City services shall be paid as a transfer of funds <br />from the HRA to the City of Roseville prorated on a quarterly basis. The total fee for 2009 is <br />$13,675 which includes an estimated 8.5 hours per week of the Community Development <br />Assistant time as approved by the HRA Board. <br />IV. Indemnification. The parties shall indemnify and hold harmless each other and their <br />officials, agents, and employees from any loss, claim, liability, and expense (including <br />reasonable attorney's fees and expenses of litigation) arising out of any action of the respective <br />parties in the performance of the service of this contract. <br />V. Assi n� ment. This agreement shall not be assigned, sublet, or transferred by the City <br />or the HRA without written consent of the other party and a minimum of 30 days notice in <br />
