from the HRA to the City of Roseville prorated on a quarterly basis. The amount <br />to be transferred each month is equal to 15% of the Community Development <br />Director's salary and benefits. For 2009, it is estimated that that monthly transfer <br />will be in the amount of $19,785.00 <br />IV. Indemnification. The parties shall indemnify and hold harmless each other and their <br />officials, agents, and employees from any loss, claim, liability, and expense (including <br />reasonable attorney's fees and expenses of litigation) arising out of any action of the respective <br />parties in the performance of the service of this contract. <br />V. Assi�nment. This agreement shall not be assigned, sublet, or transferred by the City <br />or the HRA without written consent of the other party and a minimum of 30 days notice in <br />writing by the City. <br />VI. Conflict of Interest. The City agrees to immediately inform, by written notice, to the <br />HRA Chair, possible contractual conflicts of interest in representing the HRA for staff services. <br />Conflicts of interest may be grounds for termination of this Agreement. <br />VII. Termination: This agreement may be terminated by a majority vote of either party <br />and for any cause upon 30-day written notice. <br />VIII. Notices. All notices to be given hereunder shall be in writing and shall be <br />deemed given the earlier of receipt or three (3) business days after deposit in the United States <br />Mail, postage prepaid, addressed to: <br />A.
