HOUSING REDEVELOPMENT AUTHORITY <br />IN AND FOR THE CITY OF ROSEVILLE <br />SERVICES AGREEMENT <br />THIS IS AN AGREEMENT <br />entered into the day of February, 2003 by and between <br />the Housing Redevelopment Authority in and for the City of Roseville, Minnesota, hereinafter <br />referred to as the HRA, and the City of Roseville-Finance Department, a governmental <br />municipality organized and existing under the laws of the State of Minnesota, hereinafter referred <br />to as the City. <br />WITNESSETH: <br />WHEREAS, <br />the HRA desires to hire the City to render certain fiscal assistance in <br />connection with such undertakings of the HRA. <br />NOW THEREFORE, <br />the parties hereto do mutually agree as follows: <br />Scope of Services. The City shall perform necessary and requested services for the <br />implementation of financial actions and activity of the HRA as outlined in Attachment A of this <br />agreement and summarized as follows: <br />Process bi-weekly payroll and payment of invoices. <br />Provide monthly reporting including summaries of past and current revenues and <br />expenditures. <br />Provide assistance and guidance in the preparation of the annual budget. <br />Coordinate the selection of a CPA firm and the preparation of all audit workpapers <br />for the purposes of conducting an annual financial audit. <br />Establish and maintain all banking and investment relationships and procedures. <br />Provide for the proportionate share of office space, office supplies, etc. <br />Maintain coverage for the HRA and its activities, on the City’s insurance policies. <br />This agreement shall be effective upon the approval of theTerm. Board of <br />Directors and execution by the Chair and Secretary and continue for one calendar year to be <br />reviewed, revised and renewed at the first annual meeting of the HRA each year. <br />III. Compensation. The fees for the City services shall be paid as a transfer of funds at <br />the beginning of the calendar year based upon 5% of the total budget for the HRA within that <br />calendar year. <br />IV. Indemnification. The parties shall indemnify and hold harmless each other and their <br />officials, agents, and employees from any loss, claim, liability, and expense (including reasonable <br />attorney’s fees and expenses of litigation) arising out of any action of the respective parties in the <br />performance of the service of this contract. <br /> <br />
