West Vadnais Lake outlet because it provides an outlet for future drainage from I-694 right-of- <br />way. <br />2. The Board, VLAWMO and GLWMO will reimburse the County for their respective share of <br />construction costs for the West Vadnais Lake outlet based on the final project payment request <br />certified by MnDOT to include accurate accounting of actual quantities used for the project. <br />Payment to the County shall be made within 30 days of receipt of adequate documentation. <br />3. The County shall obtain the Minnesota Department of Natural Resources permit for Work in <br />Public Waters to construct the West Vadnais Lake outlet. <br />4. The Board shall provide a Zero Dollar Permit to MnDOT to construct the inlet of the West <br />Vadnais outlet pipe on property owned by St. Paul. <br />5. The District shall own the West Vadnais Lake outlet pipe and be responsible for annual <br />inspection of the West Vadnais Lake outlet pipe. <br />6. The District may regulate the operation of the West Vadnais Lake outlet pipe seasonally to limit <br />the flow of water to Lake Gervais. <br />7. The District shall determine the need for maintenance work and repair of the West Vadnais <br />Lake outlet pipe and administer contracts necessary to complete this work. <br />Maintenance and repair costs shall be distributed among the project partners as follows: <br />County (33.3%), Board (33.3%), VLAWMO (16.7%), and GLWMO (16.7%). The District <br />shall promptly notify the project partners if their annual inspection of the West Vadnais Lake <br />outlet indicates maintenance or repair work is necessary. The District will provide each partner <br />a description of the work needed prior to initiating the work. The District will provide a <br />summary of work performed and costs to the County, Board, VLAWMO, and GLWMO with a <br />request for payment. Payment to the District shall be made within 30 days of receipt of <br />adequate documentation. <br />9. The West Vadnais Lake outlet provides a stable outlet for water derived from land within the <br />jurisdiction of VLAWMO and GLWMO into the Ramsey Washington Metro Watershed <br />District. Future land use or environmental changes may alter the amount of water flowing from <br />West Vadnais Lake and significantly modify the intended function of the West Vadnais Lake <br />outlet. The District shall assess the impact of potential future changes and notify the project <br />partners if, in its opinion, the original function of the West Vadnais Lake outlet may be <br />significantly altered. In such an event, the District will convene a meeting of project partners to <br />discuss the situation and identify appropriate remediation activities to maintain the original <br />function of the West Vadnais Lake outlet. <br />10. Ramsey County agrees to hold harmless, indemnify, and defend VLAWMO (including its board <br />members, officers, and employees), GLWMO (including its board members, officers, and <br />employees), Ramsey Washington Metro Watershed District (including its board members, <br />officers, and employees), and Board of Water Commissioners of the City of Saint Paul <br />(including its board members, officers, and employees) from. all claims, losses, or damages <br />which they, or any of them shall be legally obligated to pay as a consequence of any act or <br />PW2004- 3 of 8 <br />
