2010 Professional Services Agreement <br />between the <br />Ramsey Conservation District <br />and the <br />Grass Lake Watershed Management Organization <br />A. PARTIES <br />This Agreement is made and entered into by Ramsey Conservation District (RCD), and the Grass Lake <br />Watershed Management Organization (GLWMO). <br />B. PURPOSE <br />WHEREAS, the GLAWMO has requested assistance from the RCD and WHEREAS, the RCD, through its <br />publicly elected Board of Supervisors, is authorized to enter into agreements to provide such assistance pursuant <br />to MINN. STAT. §§ 103C.331, SUBD. 3 and 7 and 103D.335, subd. 21. <br />NOW, THEREFORE, the parties agree as follows: <br />C. TERM OF AGREEMENT <br />The term of this agreement shall be from the effective date to December 31, 2010 unless extended or terminated <br />as provided herein. <br />D. SCOPE OF SERVICES <br />The RCD will perform all services and furnish and deliver work products generally described in Exhibit A , <br />attached and made part of this agreement. Generally these services include: Administrative assistance, select <br />technical services, special projects, grant application and management, and miscellaneous education, public <br />outreach services, and treasurer's duties and reporting to BWSR. <br />E. COST <br />In full consideration for services under this agreement, the RCD shall charge the GLWMO for the services <br />described in Exhibit A on a time and material basis. This agreement is not to exceed a total of $10,210.00 <br />without an amendment approved by the GLWMO and RCD. <br />E. PAYMENTS <br />The RCD shall invoice the GLWMO on a quarterly basis. Payment is due in full to the RCD within 40 calendar <br />days after the next scheduled meeting of the GLWMO Board. <br />G. EQUAL EMPLOYMENT OPPORTUNITY- CIVIL RIGHTS <br />During the performance of this Agreement, the RCD agrees to the following: <br />No person shall, on the grounds of race, color, religion, age, sex, disability, marital status, public assistance, <br />criminal record, creed or national origin, be excluded from full employment rights in, be denied the benefits of, <br />or be otherwise subjected to discrimination under any program, service, or activity under the provisions of and all <br />applicable federal and state laws against discrimination including the Civil Rights Act of 1964. <br />Page 1 <br />
