42 4. Online Web Storefronts: Impressive Print. shall provide at no 43 additional charge Private Label Web Storefronts as described in the 44 RFP response dated January 22, 2010. 45 46 II. Term. The term of this Agreement is a period of three years beginning on 47 May 1, 2010 and ending on April 30, 2013, and the Agreement shall be effective upon 48 the approval of the City Council and execution by the Mayor and City Manager. The 49 City shall have the right, with or without cause, to terminate the Agreement at any time 50 by providing Impressive Print with written notice of its intent to terminate the Agreement 51 30 days prior to termination. 52 53 III. Compensation. The City agrees to pay Impressive Print per print run at the 54 prices specified in Attachment A. The City reserves the right to determine the frequency 55 and number of print runs of the quantity of forms to be printed. Impressive Print shall 56 submit itemized bills on a per print run basis. Bills submitted shall be paid in the same 57 manner as other claims made to the City. 58 59 IV. Governing Law and Compliance. The Agreement shall be governed by the 60 laws of the State of Minnesota. In providing services hereunder, Impressive Print shall 61 abide by all statutes, ordinances, rules and regulations pertaining to the provision of the 62 services to be provided. Any violation shall constitute a material breach of'the 63 Agreement. 64 65 V. Indemnification. Impressive Print agrees to indemnify and hold the City, 66 and its officers, agents and employees, harmless from any loss, claims, liability, damages, 67 judgments and expense (including reasonable attorney's fees and expenses of litigation) 68 arising out of the failure of Impressive Print to perform its obligations under this 69 Agreement. 70 71 VI. Subcontractor. Impressive Print shall not enter into subcontracts for any of 72 the services provided for in this Agreement without providing a detailed list of those 73 services, including the names and contact information of those service providers. 74 75 VII. Independent Contractor. At all times and for all purposes hereunder, 76 Impressive Print is an independent contractor and not an employee of the City. Nothing 77 contained herein shall be construed so as to make Impressive Print or any of its 78 employees an employee or an agent of the City. 79 80 VIII. Assi nment. This Agreement shall not be assigned, sublet, or transferred 81 without the written consent of the City. 82 83 IX. Conflict of Interest. Impressive Print agrees to immediately inform, by 84 written notice, the City Manager of possible conflicts of interest with City employees or 2
