(j) Lessee represents to Owner that, as a condition of and additional <br />consideration for this Lease Agreement, Lessee agrees to look to the Owner first for the ne�t site <br />which, based upon Lessee's system design, is necessary to be placed within the Owner's <br />jurisdiction. Lessee will present to Owner its needs for the placement of an additional site and <br />Owner shall provide Lessee with properties it owns which may be applicable for Lessee's needs. <br />Owner agrees that it shall provide Lessee with a list of such owned properties within fifteen (15) <br />business days of its receipt of Lessee's request and, in the event Owner does not provide such list <br />within such time period, Lessee shall be under no further obligation to the Owner to place its site <br />on Owner's properiy. The parties agree that, with the exception of the rental amount, the basic <br />provisions of this lease sha11 be utilized for a lease on such additional site. The rental amount <br />sha11 be based upon the then market rate being paid by Lessee to other municipalities for similar <br />facilities. The parties further agree that in the event they cannot agree upon the location of the <br />site and/or rental amount for such new site lease, the validity of this Lease sha11 remain in full <br />force and effect so long as neither pariy is in default thereunder and shall have no other bearing <br />upon the effectiveness of this lease. <br />22. Condemnation. In the event of any exercise of eminent domain or condemnation <br />with respect to any of the Site, Owner sha11 be entitled to receive the total award paid or payable <br />as a result of such taking attributable to the value of the portion of the Site or Owner's Property <br />so taken. Notwithstanding the foregoing, Lessee shall be entitled to any separate award paid or <br />payable to Lessee that is attributable to the value of any of Lessees Communication Facilities, <br />the value of the unexpired Lease Term, or to moving expenses incurred as a result of such taking. <br />23. Assi�nment and Subleasing. <br />(a) Upon Owner's written consent, which sha11 not be unreasonably withheld, <br />conditioned or delayed, Lessee may assign or sublet this Lease, in part or in whole, including its <br />right to renew, to any person or business entity which is licensed by the Federal Communications <br />Commission. <br />(b) Lessee sha11 ha�e the right to assign this Agreement and/or the Lease, in <br />whole or in part (including any rights to renew), or to sublet all or a part of the Site, without <br />Owner's consent, to any of Lessee's Affiliates (as defined below), on the same terms and <br />conditions hereof. Any such assignee or sublessee shall ha�e a similar right to assign this <br />Agreement and/or the Lease, in whole or in part (including any rights to renew) or to sublet all or <br />a part of the Site, without Owner's consent, to any of Lessee's Affiliates, on the same terms and <br />conditions hereof. As used herein, "Lessee's Affiliates" means any corporation or entity which <br />controls, is controlled by, or is under common control with, Lessee, or any corporation or entity <br />which results from a merger or consolidation with Lessee or with any entity that controls Lessee. <br />No transfer or assignment of the stock of Lessee, or any controlling interest in Lessee, whether <br />by sa1e, merger, exchange or other means, shall constitute an assignment of this Lease. <br />(c) Upon notification to Owner of any permitted assignment, Lessee sha11 be <br />relieved of a11 performance, liabilities and obligations under this Agreement. <br />83831 1 0 <br />
