� ARTICLES OF TNCORPORATTON <br />:� O F <br />ROSEVILLE LOCAL DEVELO�MENT CORPORATION <br />The undersigned, a natural person of full age, for the <br />purpose of forming a corporation under the provisions of the <br />Minnesota Nonprofit Corporation Act, Minnesota Statutes Chapter <br />317, and laws amendatory thereof and supplementary thereto, hereby <br />adopts the following Articles of Incorporation: <br />ARTICLE I <br />Name <br />The name of the corporation is: <br />ROSEVILLE LOCAL DEVELOPMENT CORPORATION. <br />ARTICLE II <br />Purposes <br />The corporation is organized and shall be operated <br />exclusively for charitable purposes, as such purposes are legally <br />defined: excluding, however, any purpose that is not exclusively <br />charitable within the meaning of sections 170(c)(2), 801(c)(3), <br />2055(a)(2), and 2522(a)(2) of the Internal Revenue Code of 1986, as <br />now enacted or hereafter amended (the "Code"). All references in <br />these Articles of Incorporation to a particular section of the Code <br />shall mean and include, as now enacted or as hereafter amended, <br />such section and any provisions of federal or state law as now are <br />or may hereafter be applicable, cognate to such section. <br />The corporation at all times shall be operated, supervised, <br />or controlled by or in connection with, as contemplated by section <br />509(a)(3)(B) of the Code, the City of Roseville, Minnesota (the <br />"City"), an organization described in section 509(a) (1) and <br />170(b)(1)(A)(v) of the Code. Subject to the foregoing and within <br />the scope and in furtherance of the charitable purposes herein <br />provided, the corporation is organized and shall be operated <br />exclusively 'for the benefit of, to perform the functions of, or to <br />carry out the purposes of the City, as contemplated by section <br />509(a) (30(A) of the Code by directly or indirectly advancing, <br />supporting, promoting, conducting, administering, or engaging in <br />charitable activities, causes, projects, and programs of every kind <br />and nature related or contributing to the care of the aged, the <br />lessening of the burdens of government, the combating of community <br />deterioration, and the promotion of the social welfare through <br />accomplishment of the foregoing. Specifically, but without <br />limitation, the corporation shall facilitate the access of low to <br />moderate income senior citizens of the City to sound, affordable <br />
