such adjournment is taken, except as provided in Section 7. <br />Section 6 Notice of Meetings - Waiver <br />Written notice of each meeting of the members stating the time and place, and in the <br />case of a special meeting, the purpose, shall be mailed at least five (5) days and within <br />thirty (30) days prior to the meeting to each member entitled to vote at such meeting at <br />such address as appears on the books of the Association. Notice of the time, place and <br />purpose of any meeting of the members may be waived in writing by any member; such <br />waiver may be given before or after the meeting and shall be filed with the Secretary or <br />entered upon the records of the meeting. Attendance by a member at a meeting is a <br />waiver of notice of that meeting, except where the member objects at the beginning of the <br />meeting to the transaction of business because the meeting is not lawfully called or <br />convened, or objects before a vote on a item of business because the item may not <br />lawfully be considered at that meeting, and does not participate in the consideration of the <br />item at the meeting. <br />Section 7 Quorum <br />The presence in person or by proxy of a majority of the members entitled to vote at any <br />meeting of inembers shall constitute a quorum of inembers for the transaction of <br />business. In the absence of such a quorum, the members may adjourn to such future <br />date, and notice of such future meeting shall be mailed to each member entitled to vote, <br />at least five (5) days before such adjourned meeting. The members present at a duly <br />called or held meeting, at which a quorum of inembers are present, may continue to <br />transact business until adjournment, notwithstanding the withdrawal of enough members <br />to leave less than a quorum. <br />Section 8 Voting Rights <br />Each member of record as defined in Section 52 shall be entitled at each meeting to one <br />vote on any matter of business properly submitted to the membership. There shall be no <br />cumulative voting. <br />Section 9 Proxies <br />A member may cast their vote in person or through proxy. The appointment of a proxy <br />shall be in writing, signed by the absent member, and filed with the Secretary at or before <br />the meeting. <br />Section 9A Certificate of Membership <br />The Certificate of Membership if any, shall be signed by the President and Secretary of <br />the Association. <br />TRUSTEES <br />Section 10 Number - Qualification <br />Subject to State law to the contrary, the business of the Association shall be managed by <br />a Board of nine (9) Trustees, six of whom shall be elected from the members but may <br />include one retired member. In addition to the six elected Trustees, the Mayor, the Clerk <br />or Treasurer and the Chief of the Fire Department of the City of Roseville shall be ex- <br />officio Trustees. <br />� <br />
