XIIL RIGHTS IN ORIGINAL MATERIALS. The College shall own a11 rights, including all intellectualproperty <br />rights, m all original materials, includingany curriculum materials, mventions, reports, studies, designs, <br />drawings, specif'ications, notes, documents, software and documentation, computer based training modules, <br />electronically or magnetically recorded materials, and other work in whatever form, developedby the <br />College and its employees individually orjointly with others or any subpurchaserin the performance of its <br />obligations under this contract. This provision shall not apply to the following materials: <br />N/A <br />XIV. JURISDICTION AND VENUE. This contract, and amendments and supplements thereto, shall be governed <br />by the laws of the State of Mimlesota. Venue for all legal proceedings arising out ofthis contract, or breach <br />thereof, sha11 be m the state or federal courtwith competentjurisdiction in Ramsey County, Minnesota. <br />XV.
